The Paralegal works closely with our team of Corporate Clerks and assists Calgary Legal Professionals in providing billable legal services to the Firm’s clients, handles routine administrative matters associated with maintaining a corporation’s corporate records and registrations including completing forms and preparing documents for review by Legal Professionals.
KNOWLEDGE AND SKILLS
- A minimum of CORES Level II

- Energized by a fast-paced setting and able to prioritize multiple competing tasks
- Knowledge of laws/legislation relevant to the corporate practice of ABCA and CBCA entities
- Not-For-Profit knowledge and experience considered an asset
We are currently working in a hybrid work arrangement, which includes a requirement to work partially in the office.
Responsibilities:
- Maintaining corporate records on an annual basis by identifying what needs to be updated, prepares resolutions for routine matters such as dividend declarations, changes to directors and officers, name change, annual resolutions, obtains client signatures
- Preparing documents required for incorporations, extra provincial registrations of corporations, general and limited partnerships, amalgamations, dissolutions, amendments, and continuances; prepares articles and notices to other provinces to notify of changes using specific forms and resolutions
- Updating and maintaining our legal entity management software and minute books by:
- Ensuring documents comply with the applicable legislation (e.g. BCA, CBCA)
- Noting deficiencies and preparing remedial resolutions, where required
- Arranging for required government filings such as articles, notices of change and annual returns
- Assisting in maintaining the precedent system by providing input and suggestions for changes, preparing precedents when requested
- Maintaining confidentiality of Firm, client, and employee information;
- Liaising with corporate clerks in our other offices as well as corporate searchers
- Assisting with other transactional and administrative matters as required
