JOB DESCRIPTION

Be part of a dynamic legal team supporting U.S. Bank’s thriving and robust Corporate Trust business. This position is part of a group responsible for addressing legal issues affecting U.S. Bank’s Global Corporate Trust division when the bank acts in a trustee or agency capacity. U.S. Bank is among the premier corporate trustees in the country. The bank’s Corporate Trust business line serves in various capacities, including trustee for public finance, corporate finance, and structured finance transactions. U.S. Bank’s Corporate Trust business also includes providing services as escrow agent, paying agent, transfer agent, document custodian, and more.

BASIC QUALIFICATIONS

  • Licensed by and in good standing with the appropriate state bar association or other appropriate state attorney licensing authority

PREFERRED SKILLS/EXPERIENCE

  • Five or more years practicing law in an in-house legal department or at a law firm
  • Experience with municipal finance transactions, including experience representing indenture trustees and experience drafting, reviewing, and negotiating indentures and related bond documents
  • Experience or familiarity with corporate finance, structured finance, and related areas of law, and an understanding of the legal and regulatory issues affecting fiduciaries and agents in the context of corporate trusteeships, is desired but not required
  • Experience in the financial-services industry, and in particular, experience advising trustees, custodial banks, investment advisers, brokers, or insurers
  • Familiarity with Reg. 9, trust law including the Trust Indenture Act, and UCC Article 9
  • Strong analytical skills
  • Ability to work independently
  • Comfort with and interest in working on a variety of legal matters
  • Excellent written, oral, and interpersonal communication skills
  • Strong commitment to client service

Responsibilities

ESSENTIAL FUNCTIONS

  • Reviewing and negotiating municipal finance transaction documents and related deal documents on behalf of the bank in its role as trustee
  • Counseling U.S. Bank businesspeople on issues related to governing documents and other contracts
  • Advising as to the trustee’s administration of transactions involving municipal finance, corporate finance, securitizations, and collateralized debt obligations
  • Interpreting SEC, OCC, MSRB regulations and other relevant laws
  • Providing advice on account level and bondholder issues
  • Advising management regarding litigation and risk
