ROLE OVERVIEW
Role: Company Secretarial Officer
Reporting to: Senior Manager & Secretariat
Location: Leeds
ROLE RESPONSIBILITIES
We are seeking a diligent and experienced Company Secretarial Officer to join our team. The ideal candidate will have previous experience in a similar role and may be working towards their ICSA qualification. The primary responsibility of this role is to undertake company secretarial duties for residential management companies, ensuring compliance with regulatory requirements and providing support to directors.
Key Responsibilities:
· Obtain, file, provide, and collate information held at Companies House as and when required. Such as confirmation statements and accounts.
· Interpret the memorandum and articles of association and advise directors accordingly.
· Issue share certificates or membership certificates according to the relevant memorandum and articles of association.
· Prepare General Meeting Notices.
· Maintain the company books and registers.
· Issue call outs for Directors to join the board.
· Complete and file the annual Confirmation Statement.
· File annual Dormant/Statutory company accounts.
· Upkeep and periodic review of statutory registers.
· Provide access to basic legal advice on company matters.
· Utilize Inform Direct Software to aid in the administration of the RMC.
