Roles, Responsibilities and Eligibility Criteria – Advisor 1. Objective of Engagement The Advisor shall be engaged to provide independent, strategic and advisory support to the Company’s management in areas relating to banking, banking support and outsourcing services, financial services, risk management, compliance, operations and business growth. The role shall be advisory in nature and shall not involve day-to-day executive or managerial functions. 2. Scope of Roles and Responsibilities The Advisor shall provide advisory support, guidance, and inputs to the management, including but not limited to, the following areas: Advise the management on overall business strategy, governance practices and long-term sustainability of the Company’s operations. Provide insights on industry trends, emerging risks, regulatory developments and best practices in the banking and financial services sector. Provide advisory inputs on risk management frameworks, including identification, assessment, mitigation and monitoring of risks. Review and suggest improvements to internal risk policies, frameworks, controls and reporting mechanisms. Review operational processes and recommend measures for efficiency, robustness, scalability and risk mitigation. Provide expert guidance on banking operations, digital banking support services, liability and asset product support, and allied outsourced activities undertaken by the Company on behalf of the Bank. Provide strategic inputs on business expansion, diversification of services and enhancement of value proposition. Advise on new opportunities aligned with the Company’s objects and regulatory framework. Support management in evaluating strategic initiatives, partnerships or projects, as may be required. The Advisor shall act in an advisory capacity and shall not be considered as a Key Managerial Personnel, employee or officer of the Company. The Advisor shall report to and interact with the senior management and/or the Board, as may be required. The Scope of Roles and Responsibilities mentioned above is only illustrative and not exhaustive. Roles and responsibilities, in addition to the above-mentioned, may be assigned by the organization from time to time for the Advisor. Location: Chennai or as may be decided by the IGSSL Management. 3. Eligibility Criteria Experience: Possess a minimum of 15 years of relevant professional experience in banking, financial services, risk management, compliance, regulatory affairs or allied domains. Must have held senior leadership, advisory or decision-making roles, and shall have served at least at the level of Deputy General Manager (DGM) in a Public Sector Bank or its equivalent in private sector bank. Demonstrate strong understanding of risk, governance and compliance frameworks applicable to the banking and financial sector. Possess sound professional judgment, integrity and the ability to provide independent and objective advice. Academic and/or professional qualifications relevant to banking, finance, economics, law, management or allied disciplines. Age: Upto 70 years (At the time of onboarding) 4. Tenure and Review The tenure of engagement of the Advisor shall be for a period of six (6) months extendable up to a further period of six (6) months at a time for an overall tenure of two (2) years, subject to review, assessment, needs and requirement of the Organization. The remuneration payable to the Advisor and all other applicable terms and conditions of the engagement shall be as set out in the Engagement Agreement to be entered into between the Company and the Advisor.
