Reporting to the Senior Manager, Co-Sec, this full-time and permanent position based in either our North Sydney or Melbourne offices and offers regional coverage, allowing you to make a significant impact on our team and its’ growth.   Key responsibilities:   Preparation and lodgement of ASIC forms Preparation for the client portfolio’s Annual General Meetings and General Meetings Day to day management of the Company Secretarial function and governance matters Maintenance of statutory records for the Group’s entities and all subsidiaries Prepare ASX announcements Preparation of minutes and circular resolutions Preparation of Corporate Governance documents Preparation of Share and Security issues (including performance rights, options and capital markets events such as SPP’s and Rights Issues) Preparation and dispatch of Board papers for the various entities within the client portfolio Ensuring all compliance deadlines are met, internally and externally as per ASX and ASIC requirements including quarterly, semi-annual and annual reports  Managing compliance in overseas jurisdictions Attending Board meetings and Committee meetings   Key requirements:   Excellent accuracy and attention to detail with strong organisational skills Effective time management skills Exceptional communication skills and an ability to communicate at various levels within the organisation and external bodies Strong commitment to confidentiality, producing quality work, professionalism, literacy, grammar and punctuality. Excellent client-facing skills. Ability to prioritize multiple tasks and work both autonomously and as part of a team. Excellent quantitative and qualitative skills; being able to review legislation and the ASX Listing rules, draw conclusions, identify trends and issues, and diagnose root cause of issues Exposure to and advanced skills in use of Company secretarial software applications and electronic board papers portals. Ability to plan activities, foresee needs and potential issues, and to solve problems efficiently and effectively.
