Description The ideal candidate will have three to four years of business and/or real estate transaction experience. Generally, you will be involved with: • Purchase and sale agreements • Commercial leases • Operating agreements and shareholder agreements • Loan documents and financing agreements • Service contracts and vendor agreements • Handle commercial real estate transactions from contract through closing. • Conduct due diligence reviews, including title, survey, zoning, and entity matters and prepare schedules. • Advise clients regarding business formation, governance, and day-to-day operational issues. • Assist with acquisitions, dispositions, financing transactions, and development projects. • Employment and consulting agreements. • Coordinate with lenders, title companies, brokers, and opposing counsel. • Perform legal research and prepare memoranda, correspondence, and transactional documents. • Support senior attorneys in complex transactions and client matters. • Manage multiple projects simultaneously while maintaining strong attention to detail. • Provide legal advice and guidance to clients on various business-related matters. • Stay updated on relevant legal developments, regulations, and case law. • Assist senior attorneys in mentoring and training junior associates and legal staff.
