THE CORPORATE FINANCE TEAM

Our corporate finance team is trusted by leading UK and international companies to deliver strategic, transformational deals. Ranked Tier 1 in the Legal Directories for upper mid-market M&A, we are a recognised market leader in public takeovers, and sectors including financial services, tech, retail & consumer and energy & infrastructure, completing over 200 deals annually across more than 40 jurisdictions.

We advise clients on the full range of corporate finance transactions including:

  • Public company takeovers. We have one of the busiest teams in the City for PLC takeovers with strong dealflow - we advised on a third of all takeovers in 2023 and typically act on 20%+ of all such UK market activity on a year by year basis. Three partners are ex-Takeover Panel secondees, providing an unrivalled opportunity to learn and practice the written and unwritten rules and market know-how that apply to these high profile transactions.
  • Equity capital markets. We are confident in the long term prospects of London’s listed markets and are growing our team’s capability in ECM at all levels. We want to capture greater market share of IPOs and secondary fundraisings, Main Market and AIM, advising both corporates and investment banks to grow our listed client base.
  • M&A (both domestic and international). Our M&A clients include high profile names like ABF, Barclays, BAT, bp, Britvic, Diageo, HSBC, Entain, JD Sports, Lloyds Banking Group and NatWest, many of whom have been clients for more than a decade, and we advise them on all aspects of their acquisition, disposal and joint venture strategies. We advise over 50% of the FTSE100 delivering transformational deals for them across all our chosen sectors.
  • Advisory. This includes all aspects of advising listed companies – ranging from strategic issues such as ESG and D&I, the Listing and Prospectus Regulation Rules and other applicable regulations, group reorganisations and restructurings and ongoing C-suite advice/ corporate governance more generally.

YOUR AREAS OF KNOWLEDGE AND EXPERTISE

Our key requirements are:

  • You have no less than 2 years’ PQE.
  • You have experience in corporate finance, ideally advising preferably UK corporate clients on a wide range of corporate finance transactions, including IPOs, secondary fundraisings and takeovers, as well as public company matters more generally.
  • You will bring technical expertise in navigating listed regulatory frameworks, such as the UK Listing and Prospectus Regulation Rules, Disclosure Guidance and Transparency Rules, and the Takeover Code, with a proven ability to advise on listed company issues

Responsibilities:

PURPOSE OF THE ROLE

As our City corporate team continues to grow, we are seeking one or more associates with expertise in UK corporate finance work to join us. This role offers the opportunity to contribute to high-value, complex M&A, IPO and other London Stock Exchange/AIM focussed-transactions primarily for leading listed UK businesses and, increasingly, international clients. You will enhance your experience in corporate finance with an emphasis on PLC clients and equity capital markets, while working in a collaborative, solution-oriented and output-focussed team.

WHAT TO EXPECT IN THIS ROLE

Your responsibilities will include:

  • Assisting on the full range of corporate finance transactions - strategic M&A, public takeovers, IPOs and secondary fundraisings – being involved from the initial strategic stages to seeing the deal through to closing and beyond.
  • Contributing to the growth of the corporate finance practice through active involvement in business development, responsibility for client relationships, creating and delivering pitches and being responsible for the growth of the practice.
  • Collaborating with team members, including mentoring and instructing trainees and paralegals, and working alongside senior colleagues on key workstreams – both document drafting and external negotiations and meetings with clients and investment bank advisers.
