The India Associate Director / Director, Legal – APAC will have several focus areas: (i) Core: ensuring commercial contracts are effectively and efficiently drafted and negotiated in India, APAC and EU and support overflow contracts support for the US; (ii) Tetiary: provide broader legal support to our APAC and EU operations, including privacy, regulatory, first line support of HR, and corporate governance matters in alignment with Trinity’s evolving global operating model. The role will partner closely with the General Counsel, U.S. commercial legal lead, Compliance, InfoSec, and Contract Operations to ensure consistent risk posture across regions. This role requires a deep understanding of the legal and regulatory landscape affecting life sciences companies, ability to work efficiently and independently in a high-volume, high-pressure environment, and collaborate effectively with different departments within the organization. This is a a high autonomy, senior regional role NOT a back office India cost arbitrage hire. Key Responsibilities - Serve as primary lawyer for customer and vendor contracts relating to India, APAC, and EU, including local regulatory issues and handle a defined portion of U.S. overflow commercial contracts to support workload distribution. Examples of agreements are: master services agreements, vendor agreements, statements of work, SaaS agreements, software license, data processing agreements, contractor agreements, non-disclosure agreements, third party data access agreements, licensing agreements, partnership agreements, pharmacovigilance agreements, etc. - Engage in direct negotiations and discussions with Trinity’s clients and vendors. - Ensure India and APAC data privacy compliance. Own legal content for DPAs, security exhibits, cross-border transfer frameworks, and privacy templates/playbooks relating to India and APAC. - Provide counsel for India, APAC and EU corporate governance, HR matters, entity documentation, and compliance questions. - Participate in weekly/biweekly contracts leadership syncs and monthly privacy/compliance syncs. - Partner with U.S. commercial lead to co-develop templates, guardrails, negotiation playbooks, and regionalized terms. Position Requirements - Law degree (LL.B./J.D.) and eligibility to practice in India. - Minimum 10+ years of legal experience with strong background in commercial contracts, privacy, life sciences, and technology. - Proven ability to draft, redline and negotiate commercial contracts independently (e.g., master services agreements, vendor agreements, statements of work, SaaS agreements, software license, data processing agreements, contractor agreements, non-disclosure agreements, third party data access agreements, licensing agreements, partnership agreements, pharmacovigilance agreements, etc..) - Deep familiarity with global privacy regimes including GDPR/UK GDPR, U.S. state laws, and India/APAC data laws. - Working knowledge of applicable life science, compliance, and privacy laws, rules, and regulations (Sunshine Act, Anti-Kickback Statue, pharmacovigilance requirements, HIPAA, GDPR, CCPA, CPRA, etc.). - Strong organizational skills and ability to manage workload across multiple time zones. - Ability to work independently while collaborating effectively with global stakeholders.
