About the Legal Shared Services Team (‘LSST’) The Legal Shared Services Team (‘LSST’) is the multi-disciplinary legal team supporting all lines of business including Commercial Banking, Consumer and Community Banking, Corporate and Investment Banking and Asset and Wealth Management across North America, Europe, the Middle East and Africa, and Asia-Pacific (‘Global Legal Teams’). The Team works on high-volume, contract and document work, legal analysis, and legal process optimization, with opportunities to contribute to automation and AI enablement —working closely with onshore Practice Group attorneys and stakeholders, along with specialized corporate secretarial services to the Office of the Secretary (OTS) practice group. You must have strong legal analytical and collaborative skills, be able to work independently as well as collaboratively within the team and be a true "self-starter."  Job Summary As an Associate in the Legal Shared Services Team (LSST), you will have broad exposure across practice areas and opportunities to build legal, operational, and stakeholder-management skills in a fast-paced global environment.   Job Responsibilities  * Transactional legal Support: Draft, review, and negotiate a range of corporate documents with clients (e.g., NDAs (including back to back and joinders), non-reliance & reliance letters, commitment & syndication letters, medium term notes issuances and program updates); * Providing legal analysis and support on legal projects and documentation including collaboration on large/complex matters, deals, or remediation projects;  * Conduct legal research and analyze relevant laws/requirements; * Conceptualizing and implementing novel processes and optimizing existing processes to enhance efficiency and effectiveness;  * Provide gap analysis and summary of transaction and client specific deviations in negotiated agreements from standardized templates or against playbooks and policy manuals to identify discrepancies, escalation mechanisms and managing remediation exercises;  * Own firmwide signing authority and corporate governance operations — responding to governance/legal entity inquiries, preparing and maintaining POA/DOA and related certificates, and keeping Authorized Signatory Lists and system records accurate and current; and * Identifying potential assignments/requests suitable for automation and work in tandem with the respective technology teams to provide solutions.    Required qualifications, capabilities and skills * A law graduate from a premier law school in India; * 2+ Years of PQE;  * Strong drafting, negotiation and legal analytical skills; * Excellent communication skills (both verbal and written) with the ability to interact with senior business personnel and stakeholders in other functions; * Exhibit a profound sense of ownership and demonstrate exceptional teamwork skills, seamlessly collaborating with colleagues to achieve common objectives and goals; * Strong interpersonal and presentation skills; * Ability to identify and escalate issues timely and appropriately; and * Comfortable working with metrics and data measurement systems.   Preferred qualifications, capabilities and skills  * Competency in the use of technology, documentation management systems and shared databases will be viewed favorably.   CONFLICTS OF INTEREST:  All candidates for roles in the Legal department must successfully complete a conflicts of interest clearance review prior to commencement of employment.    LICENSING:  Qualifications:  JD or educational equivalent required.
