GENERAL CONDUCT ·         To act according to the highest legal and ethical standards of conduct and maintain the confidentiality of the Foundation’s private affairs. ·         To review the bylaws and operating principles of the Foundation and conduct myself in accordance with them. ·         To promote the Foundation in the community through advocacy and communication outreach efforts as directed and encouraged by the Foundation’s staff. BOARD & COMMITTEE MEETINGS ·         To attend and actively participate in all board meetings in person or via webcam (participation via audio only is discouraged). ·         To attend and actively participate in all committee meetings in which I am a member (meetings via email, conference call, or telephone are acceptable). ·         To prepare for all board and committee meetings by reviewing the board website, and downloading the materials and reading them prior to each meeting. ·         To serve on at least one committee (or task group) each year (Finance, Development, Governance, etc). ·         To take an active role in establishing and overseeing the Foundation’s policies and procedures. ·         To actively participate in strategic and development planning including attending the annual in-person board retreat (alternating New York and California locations). ·         To help identify and attract quality board members. ·         To be fiscally responsible, and, along with other board members, ensure adequate resources for achieving the Foundation’s mission. FUNDRAISING ·         Give or get a minimum of $10,000 per calendar year in accordance with the board’s Give-or-Get policy (unless an exception to the policy has been granted by the Board Chair). ·         Support the fundraising and development efforts in the ways best suited to my abilities, which may include: calling large donors; making individual solicitations; making introductions to corporate or foundation prospects; undertaking special events; or providing guidance as asked. OTHER ·         To be available for phone or online consultation. ·         To respond to emails or calls from fellow board members or staff in a timely manner (24 hrs). ·         To participate and play an active role in the National Conference and other Foundation events. ·         To complete the Annual Board Self-Assessment and actively participate in the improvement process.
Responsibilities
Oversee the Foundation's policies, procedures, and strategic planning while ensuring fiscal responsibility. Actively participate in board and committee meetings and lead fundraising efforts to secure resources for the mission.
