Given the Company’s stock‑exchange listing in India, chemical manufacturing footprint, and German parentage, the role has a strong emphasis on: Financial reporting, Indian Accounting Standards, and Tax compliance including intercompany pricing License to Operate (LTO) with respect to financial and tax Building a strong, future‑ready finance organization Key Responsibilities 1. Financial Leadership & Strategy Lead the development and execution of the Company’s financial strategy, aligned with long‑term business and sustainability objectives. Oversee budgeting, forecasting, treasury, working capital management, and capital expenditure planning for manufacturing operations. Provide strategic insights to the Board and CEO on profitability, cost optimization, pricing, and investment decisions. Support inorganic growth initiatives, including M&A, joint ventures, and technology investments, where applicable. 2. Regulatory Compliance & Governance (Listed Entity Focus) Ensure full compliance with: Companies Act, 2013 and SEBI Listing Regulations with respect to financial reporting and matters connected therewith Indian Accounting Standards / IFRS reporting Income‑tax, GST, customs, and transfer pricing regulations Act as a key management representative to the Audit Committee, ensuring high standards of financial integrity and disclosure. review quarterly, annual, and event‑based disclosures from finance perspective to stock exchanges, ensuring accuracy, timeliness, and completeness. 3. Related Party Transactions (RPTs) & Intercompany Governance oversee Related Party Transactions with the German parent and global group entities, specifically with respect to: Arm’s length pricing and transfer pricing compliance Robust documentation and approval processes Partner with legal, secretarial, and tax teams to mitigate risks arising from intercompany transactions. 4. License to Operate (LtO) – Financial & Regulatory Stewardship Act as a custodian of the Company’s financial and regulatory License to Operate, ensuring sustained trust with: Investors, analysts, and lenders Joint‑venture and group stakeholders Oversee financial aspects for reporting purposes. Ensure robust internal controls, risk management frameworks, and audit processes to protect the Company’s reputation and continuity. 5. Financial Stakeholder Management Build credibility with banks, financial institutions, rating agencies, and auditors. Act as a key interface with the German parent company, aligning local statutory requirements with global reporting, and performance expectations. 6. Team Building & Capability Development Build, lead, and mentor a high‑performing finance organization, covering: Financial accounting & reporting Taxation and its related compliances Business finance Treasury and internal audit Key Qualifications & Experience: Chartered Accountant (CA); MBA (Finance) or equivalent qualification preferred. 20+ years of progressive finance leadership experience, with significant exposure as CFO / Deputy CFO / Finance Head in Listed companies in India (ideally MNCs) preferably in Manufacturing and / or chemical/process industries Demonstrated expertise in: Related Party Transactions and intercompany structures Indian Accounting Standards, taxation, and transfer pricing presenting finance & related matters to Board of listed Company Prior experience working with multinational companies (preferably European/German) is highly desirable. Proven track record of building and leading large finance teams. Key Competencies Strong governance mindset with high ethical standards Ability to operate at Board and Audit Committee level Strategic thinking with hands‑on execution capability Strong acumen in steering and handling financial statements (e.g. P&L, Balance Sheet, Cash Flow Statements etc.) Cross‑cultural effectiveness in global matrix organizations Clear communicator with strong stakeholder engagement
