SUMMARY

We are seeking a seasoned and strategic Chief Financial Officer (CFO) to oversee the financial leadership of AvranceCorp during and after its public listing process. The ideal candidate will have experience working with public companies (TSX, NASDAQ, OTC), leading audits, raising capital, and executing stock-based M&A transactions.
You will work directly with the CEO, audit firm, legal team, and investor relations to execute a $100M raise, oversee financial reporting, and expand the company’s asset base through stock-financed acquisitions (e.g., mining concessions in Africa).

Responsibilities

  • Develop and implement financial strategies that align with the company’s goals.
  • Oversee financial planning, budgeting, forecasting, and reporting processes.
  • Manage cash flow and ensure the company’s financial health.
  • Provide leadership and guidance to the finance team.
  • Collaborate with other departments to support business initiatives and drive profitability.
  • Ensure compliance with financial regulations and standards.
  • Present financial reports to the executive team and stakeholders.
  • Lead and finalize financial audits with PCAOB-registered firms
  • Prepare and oversee filing of Super 8-K, Form S-1, and other SEC/OSC disclosures
  • Model and execute $100M capital raise strategy (PIPE, Reg A+, institutional)
  • Optimize and manage capital structure, share issuance, and treasury planning
  • Build financial controls and scalable reporting systems for a public company
  • Supervise budgeting, forecasting, project financial modeling, and sensitivity analysis
  • Conduct due diligence, valuation modeling, and post-merger integration for acquisitions
  • Ensure tax efficiency and regulatory compliance in Canada and the U.S.
  • Serve as key executive liaison for investors, lenders, underwriters, and auditors

REQUIREMENTS

  • CPA, CA, CFA or equivalent designation (required)
  • 10+ years of progressive financial leadership, including at least 3 years in a public issuer
  • Direct experience managing RTO, IPO, or SPAC transactions
  • Familiarity with Canadian and U.S. securities regulations (SEDAR/EDGAR, PCAOB, OSC, SEC)
  • Advanced understanding of real estate development finance, capital markets, and M&A
  • Prior experience with audited financial statements, investor presentations, and capital raises
  • Excellent leadership, strategic planning, and investor communication skills
  • Experience managing cross-border teams and operating in high-growth environments

BONUS EXPERIENCE

  • Exposure to natural resources, mining, or infrastructure acquisitions
  • Experience working with capital advisors, institutional investors, or family offices
  • Previously CFO of a public company with a successful uplisting or bond issuance
