Description:

JOB DESCRIPTION:

The Commercial Director will oversee the commercial contract management needs of the organization. The key directive is to ensure that business and commercial arrangements maximize the commercial benefit to the company and are in accordance with applicable law.

  • Perform contract reviews
  • Ensure that all contracts entered into by the Company are subject to acceptable conditions
  • Participate in or lead negotiations with key clients, suppliers and third parties on acceptable terms and conditions during bid/award and project execution phases
  • Act as the primary formal interface with customers/subcontractors during the execution of contracts
  • Ensure that the commercial and contractual aspects of proposals are reviewed, redrafted and submitted accordingly
  • Leadership of the Commercial team including all people management activities (performance reviews, day-to-day team management, coaching and mentoring)
  • Ensure customer contract requirements flow down to vendors and subcontractors through procurement RFQ/RFP process
  • Assist in the preparation, submission and follow up of vendor RFQs/RFPs for bids and proposals
  • Proactive analysis to identify profit-enhancing opportunities with customers
  • Identify, problem solve and manage contractual risk
  • Manage Value Propositions and Offsets reporting as required by related contracts
  • Maintain risk register and report to Head Office in accordance with related reporting requirements
  • Interface with legal counsel when necessary
  • Work closely with the Finance Department, manage the interface with customers to maximize profit and cash collection opportunities
  • Provide template agreements to assist in the speedy generation of contractual frameworks
  • Manage import and export compliance including logistics and permits required for shipments of product and data
  • Build effective internal working relationships with senior management, engineering, program management and other functions
  • Act as the Company Designated Official and ensure Company compliance with ITARs and CCG regulations
  • Maintain commercial inputs in the document management systems
  • Other tasks as assigned

REQUIRED SKILLS:

  • Ability to work on Canadian Controlled Goods and US ITAR controlled articles
  • Candidate must be capable of acquiring a NATO Secret security clearance
  • 7+ years of proven commercial or contracts management experience.

DESIRED SKILLS:

  • Aerospace, defence or related experience is a significant advantage
  • Recent experience managing ITAR and Controlled Goods regulations
  • Experience of drafting and negotiating long term supply and purchase agreements, collaboration and/or teaming agreements and non-disclosure agreements
  • Proven capability to negotiate complex terms and conditions with customers and suppliers
  • Excellent level of computer literacy (Word, Excel, MS Project)
  • Willing to travel at relatively short notice within Canada, US and overseas
  • Willing to work out of normal business hours and time zone
  • Experience with successfully managing a small team of people
  • In-depth knowledge of contract law and government regulations as they relate to commercial and contracts functions
  • Willing to identify key areas in contract terms supplied by other parties that would represent a significant risk to the Company
  • Willing to draft high level commercial letters for submission to customers and suppliers
  • Willingness to meet deadlines and work in a fast paced international environment
