1. Purpose of position The position of Commercial Manager will contribute to the success of Transurban by driving sound and effective commercial solutions that provide enduring value for Transurban’s core Australian assets. This is a role in the Australian Commercial team, that provides commercial solution services to various stakeholders across the Australian ROAD portfolio. With the recent operating model changes across Transurban, this role will help shape how the organisation transitions to the new integrated ways of working. Reporting to the Senior Commercial Manager, the Commercial Manager will be primarily focused on the following key areas: Management of day-to-day commercial matters, ensuring effective and efficient resolution Commercial management and negotiation of key non-tolling revenue and cost contracts with associated suppliers Commercial input into the early resolution of contractual disputes and claims Commercial support of the Cost Recovery Management function across the Australian ROAD portfolio (as required) Commercial support of the Asset Access and Protection function (as required) • Post-project completion defect management and resolution during asset integration periods Support the Commercial Senior Leadership Team in the delivery of strategic projects 2. Key accountabilities Commercial management Negotiate contracts that “deliver value for money” to Transurban while ensuring that good relations are maintained with strategic third parties Lead or contribute to the negotiation and execution of contractual and commercial arrangements across key non-tolling revenue/expense contracts (e.g. Telecommunications, rebroadcasting, outdoor advertising, utilities supply) Ensure contract terms and conditions adequately protect Transurban from risk Partner with Transurban’s maintenance teams to ensure a commercial mindset in reflected in day-to-day decision making Provide commercial insights, actions and support to ensure that, where possible, commercial and contractual disputes are resolved with minimal external intervention/resolutions Work closely with Legal teams to effectively manage disputes and claims, including opportunities for commercial resolution Cost recovery management Provide ad hoc support when need arises to solve roadblocks encountered by the Cost Recovery Management function Asset Access and Protection Management Provide ad hoc support as escalated to help resolve roadblocks encountered by the Asset Access and Protection function. Work closely with the Australian Markets function to coordinate reviews and subsequent responses to commercial aspects of neighbouring works Defect Management Provide commercial support in the triaging and rectification of defects identified post-completion of asset projects (Defect Liability Period) Manage associated commercial matters arising from the rectification of defects (as required) Financial Management Identify opportunities to support and implement programs and initiatives that significantly reduce the operating and capital expenditure within the Australian ROAD portfolio Risk Management & Reporting Identification and management of commercial risks program and development of mitigation strategies Stakeholder Management Establish and maintain effective working relationships with internal and external stakeholders. Communicate and coordinate with internal and external stakeholders as required to ensure contracts and commercial outcomes are successfully delivered. Use appropriate methods to enhance working relationships, improve collaboration, and resolve conflict with internal and external partners Process, Policies and Procedures Assist in establishing and maintaining policies and practices governance framework across the project commercial functions Continually look for process improvements across all areas of the business Support the business in identifying business risks and look to help develop action plans to mitigate Diversity and Inclusion Contribute to the achievement of Group diversity objectives Consistently treat employees with dignity and respect regardless of their position or status Create and maintain a work environment that is inclusive, respectful and accepting of diversity Clearly communicate the company Code of Conduct for expected behaviours and process for reporting inappropriate behaviours 3. Health, Safety and Environment (HSE) Continue to and proactively manage towards the provision of a safe workplace. This is achieved through the timely assessment & elimination of HSE risks via hazard reporting & risk assessments. It is the responsibility of managers to ensure that all employees are provided with appropriate supervision, instruction, training, consultation, information and support. 4. Position complexities As the business develops, the position will continue to evolve and the incumbent will be expected to adopt a flexible approach to work requirements and to undertake new or alternative duties as required. This may include new technology usage, new work procedures and customer service delivery systems. Changes will involve the employee and will be supported with training. 5. Customer relationship management Internal - Australian ROAD, Australian Markets (all regions), Technology, Customer operations, Group Finance, Procurement, Legal External - Suppliers and vendors (as required) 6. Company policies and practices The incumbent is expected to contribute to and comply with all company employment and operational policies, including but not limited to risk management, quality, safety, equity and sustainability. These policies are core to the business and must be reflected in the day-to-day working requirements of the position. A process of continuous improvement should be utilised for all aspects of the role.
