Responsibilities

ROLE PURPOSE:

The Commercial Solicitor (“CS”) will be a key member of the Legal Team providing strategic legal advice and expertise across a
full range of general commercial and corporate law issues affecting Vodafone and its Irish interests.
The CS is responsible for the provision of astute, commercial focused legal advice to the business (particularly within the
Vodafone Business and External Affairs team function), managing business risk within acceptable levels whilst facilitating the
business as much as possible in the execution of its affairs. The CS will be expected to project manage key strategic business
projects from a legal perspective, including managing our wholesale projects and our joint venture partnerships.
The CS will take a proactive leadership role in various project teams throughout the business and seek to understand key
strategic drivers of the company to enable the provision of appropriately tailored advice and act as counsel to the Head of
Legal and SLT team on all legal matters.
The CS will provide legal advice and support to business teams in the negotiation and drafting of agreements with Vodafone’s
Business customers, and will support new product innovation, including advising on the development of new technologies and
all IP and IT related issues. The CS should be practical, solution-oriented, and experienced in contract negotiation. You should
possess excellent technical skills in drafting legal documents.

ESSENCE OF ROLE – KEY ACCOUNTABILITIES:

As part of the role you will need the ability to have an impact across the business by (but not limited to):
Vodafone Business Unit projects: Provide expert legal support in respect of business critical projects across the Vodafone
Business Unit. Such Projects will include the supply by Vodafone of a wide variety of Vodafone Enterprise products and

services to enterprise customers of various sizes in the private and public sectors.
Commercial Contracts: Negotiation and drafting of a broad range of commercial contracts, hardware/software/services
procurement, & managed service contracts, framework agreements, software licences.
Procurement: - Advising on Procurement Law and practice, particularly in the context of responding to the tenders from
our public sector customers.
IP/IT advice: Provision of Intellectual Property and IT advices where required in all contracts for existing and bespoke
products and services.
New Product innovation: Evaluating / advising on all legal issues arising in new product development and service
propositions from inception to launch. Helping product owners to draft and construct terms and conditions for the
products they put into the market.
Data Protection, AI & Regulatory: Provide general advice on privacy and data regulation issues.
Corporate Governance: Ensure best in class corporate governance regarding the negotiation and execution of all new
contracts.
External Counsel:- Manage relationships with and use of external legal counsel where appropriate and within budgetary
confines.
“Big Vodafone”:- You will work closely with the Vodafone “family” of Enterprise Units across Europe, in developing and
introducing “best practice” contracting principles in Ireland. You will be expected to cultivate beneficial relationships with
key resources.
Compliance:- Advise the business and act as a gatekeeper for Vodafone Group internal governance compliance policies.
Dispute Resolution:- you will have the ability to critically analyse disputes that arise with customers or partners and help
Vodafone to achieve the best available outcomes;
Training:- provide training to the business and colleagues on key legal, compliance and process messages.
General Advice: Provide legal advisory support services to all business units within the Vodafone Ireland Group of Companies (including the CEO, members of the executive committee, senior managers, strategy, finance, networks, technology, regulatory, wholesale, supply chain management, human resources, consumer, enterprise, customer care, fraud risk and assurance)
