Responsibilities

THE ROLE:

The Company Secretarial Assistant will support the Deputy Company Secretary in delivering high-quality company secretarial and governance services in line with statutory requirements and best practices. This is a hands-on role within a dynamic and fast-paced organization, offering exposure to a wide range of governance and compliance activities.

KEY RESPONSIBILITIES

  • Provide company secretarial support for Boards, Committees, Executive Meetings, and ad hoc meetings, including planning, agenda setting, and meeting paper preparation.
  • Attend meetings, take high-quality minutes, track actions to completion, and draft resolutions.
  • Maintain forward planners to ensure timely reporting and decision-making in line with corporate governance principles.
  • Ensure Board and Committee decision-making aligns with the Group Delegation of Authority Framework.
  • Advise on and ensure compliance with statutory and regulatory company secretarial and governance requirements.
  • Maintain and update electronic statutory records for all UK companies on SharePoint.
  • Oversee statutory filings, ensuring completion within required timeframes.
  • Support the maintenance of the Director Information Portal, Company Secretarial Tracker, and Board and Committee Teams site.
  • Assist with corporate governance projects and initiatives to enhance processes and compliance.
