Role Overview: We are looking for a Company Secretary to support its corporate governance, compliance, and secretarial functions. The role will work closely with senior leadership, legal, finance, and compliance teams to ensure adherence to statutory and regulatory requirements in a fast-growing fintech / tech-driven environment. What You Will Do: Ensure compliance with the Companies Act and other statutory requirements. Manage end-to-end Board, Committee, and Shareholder meetings, including agenda preparation, minutes, and follow-ups. Maintain and update statutory registers, records, and filings with MCA and other regulatory authorities. Handle ROC filings, annual returns, event-based filings, and related documentation. Support corporate actions such as ESOP administration, allotments, transfers, and cap table maintenance. Assist in drafting, reviewing, and updating policies, charters, and governance documents. Coordinate with internal stakeholders, auditors, legal advisors, and consultants. Support compliance requirements related to funding rounds, due diligence, and investor reporting. Track regulatory changes and proactively advise on their applicability and impact on the company. Support secretarial audits and ensure timely closure of audit observations. What You Will Need: Qualified Company Secretary (CS) with 2–3 years of post-qualification experience. Prior experience in a new-age, tech, fintech, or high-growth startup environment is strongly preferred. Strong knowledge of the Companies Act, 2013, corporate governance, and statutory compliance. Hands-on experience with MCA filings, Board processes, and secretarial documentation. Strong attention to detail, organizational skills, and ability to manage multiple priorities. Good communication and stakeholder management skills. Ability to work independently in a fast-paced, evolving environment.
