Dept Main responsibilities: A Company Secretary (CS) is a senior-level position in a company responsible for ensuring compliance with statutory and regulatory requirements and facilitating effective corporate governance. The following is a standard job description for a Company Secretary in India: Responsibilities: 1. Ensuring Compliance: Ensure compliance with the Companies Act, 2013, and other applicable laws, regulations, and guidelines. Keep updated on changes in legal and regulatory requirements and advise the board of directors on compliance matters. 2. Board Support: Organize and attend board and committee meetings, prepare agendas, take minutes, and maintain accurate records. Provide support to the board of directors in terms of corporate governance practices, disclosure requirements, and decision-making processes. 3. Statutory Compliance: Maintain statutory registers, records, and documents, and ensure timely filing of statutory forms and returns with the Registrar of Companies (RoC) and other regulatory authorities. Handle matters related to company incorporation, change of directors, capital restructuring, and other secretarial practices. 4. Corporate Communication: Facilitate effective communication between the company, shareholders, and regulatory authorities. Draft and distribute corporate announcements, annual reports, and other disclosure documents. Liaise with stakeholders, handle shareholder queries, and manage the organization of shareholder meetings. 5. Legal Advisory: Provide legal guidance to the company, management, and the board of directors. Review contracts, agreements, and legal documents to ensure compliance and mitigate legal risks. Liaise with external legal counsel, if required, and stay updated on legal developments affecting the company's operations. 6. Corporate Governance: Develop, implement, and monitor corporate governance policies and practices. Advise the board on corporate governance best practices, ethical conduct, and corporate social responsibility initiatives. 7. Compliance Audit: Conduct periodic internal compliance audits to identify and rectify any compliance gaps or violations. Develop and implement systems and processes to ensure ongoing compliance with applicable laws and regulations. 8. Training and Awareness: Conduct training programs and workshops for employees and directors to enhance their understanding of corporate governance, compliance requirements, and regulatory changes. Authorities: Qualifications: Education/degree Qualified Company Secretary: Must possess a professional qualification from the Institute of Company Secretaries of India (ICSI) and be a registered member of ICSI. This typically involves completing the Foundation, Executive, and Professional programs of the CS course. Experience: Relevant work experience in a company secretarial role is usually preferred. The specific years of experience required may vary depending on the organization and the complexity of its operations. Knowledge and Skills: In-depth knowledge of the Companies Act, SEBI regulations, and other relevant laws and regulations. Strong understanding of corporate governance principles and secretarial practices. Excellent communication, drafting, and presentation skills. Attention to detail, ability to work independently, and strong analytical and problem-solving abilities. Work experience 1-2 years experience in Company Secretary function preferably working for an international organization, in a manufacturing environment 1-2 years in an accounting background role and working knowledge in Excel and other accounting software , ERP systems, and use of reporting tools will be an advantage. Strong Documentation skills in Board Resolutions, Minutes of the Meetings etc., and interacted with Senior management including Directors based in foreign countries will be an advantage.
