Job Description
An excellent opportunity is available for a Company Secretary to join Australia’s pre-eminent biomedical research institute.
About the Position
The Company Secretary is a key role responsible for ensuring strong corporate governance across the organisation, with a focus on supporting the Board of Directors and executive leadership. This role facilitates efficient Board and committee operations, oversees internal committee management, ensures the Institute meets its statutory and regulatory obligations and maintains best-practice governance standards.
The Company Secretary will provide administrative and governance support to the Board, Executive, senior leadership, and various internal committees, ensuring timely and accurate meeting documentation, legal filings, and compliance with governance best practices. This role also acts as a liaison between the Board, committees, and executive teams, ensuring clear communication and effective decision-making processes.
Selection Criteria

Essential Knowledge and Skills:

  • Tertiary qualifications in business, law, governance, or a related field.
  • Previous experience in a company secretarial or governance role, ideally within a not-for-profit, research, or large organisational setting.
  • Strong understanding of corporate governance principles, legal compliance, and statutory reporting requirements.
  • Experience in managing Board and committee operations, including agenda setting, minute-taking, and reporting.

Personal Qualities:

  • Ability to maintain high integrity and confidentiality.
  • Demonstrated ability to collaborate and work effectively in teams or committees across the organisation to achieve shared goals.
  • Excellent organisational skills, with the ability to handle multiple tasks and meet deadlines.
  • Excellent written and verbal communication skills, with the ability to engage with senior leadership and Board members effectively.

Terms of Appointment
This position is ongoing in a part time capacity. Up to 17% superannuation and very attractive salary packaging options are available.
