This role is for one of the Weekday's clients Salary range: Rs 1200000 - Rs 2500000 (ie INR 12-25 LPA) Min Experience: 10 years Location: Mumbai JobType: full-time As a Company Secretary, you will act as a key governance advisor to the Board of Directors and senior management. You will be responsible for managing end-to-end company secretarial activities, ensuring compliance with applicable corporate laws, regulations, and best practices. The role demands strong technical knowledge, discretion, and the ability to work closely with internal and external stakeholders, regulators, and advisors. You will contribute to maintaining high standards of corporate governance while supporting strategic and operational decision-making. Key Responsibilities Manage complete company secretarial functions in compliance with the Companies Act, SEBI regulations, and other applicable corporate laws Ensure timely preparation, circulation, and documentation of agendas, notices, minutes, and resolutions for Board, Committee, and General Meetings Advise the Board and senior management on governance matters, regulatory updates, and statutory obligations Handle filings, returns, and documentation with regulatory authorities including ROC, MCA, and other statutory bodies Maintain statutory registers, records, and corporate documents in line with legal requirements Oversee compliance related to corporate actions such as mergers, acquisitions, restructuring, capital restructuring, and shareholder matters Coordinate with auditors, legal advisors, consultants, and regulators to ensure seamless compliance and governance support Support implementation and monitoring of corporate governance policies, codes of conduct, and internal compliance frameworks Track changes in corporate laws and regulations and proactively assess their impact on the organization Ensure compliance with disclosure requirements and support regulatory inspections or audits when required What Makes You a Great Fit Qualified Company Secretary with 10+ years of relevant experience in handling comprehensive company secretarial responsibilities Strong command over Company Secretarial work, corporate laws, governance practices, and regulatory compliance Proven experience working closely with Boards, senior leadership, and external stakeholders High attention to detail with the ability to manage complex documentation and statutory timelines Strong communication, drafting, and advisory skills with a professional and ethical approach Ability to work independently, prioritize tasks, and manage multiple compliance requirements efficiently Experience in handling large or complex organizations is an added advantage
