General Job Function:   Duties and Responsibilities (in the order of priority):   1. Analyze customer contracting requirements to assess commercial, legal and technical risks (e.g., warranty, delivery/risk of loss, payment terms), and prepare and recommend appropriate sales contract terms and conditions and other agreements (NDAs, MOUs, software licenses) and flowdown terms for suppliers, service agreement among Westinghouse group including recommendation of any strategies to mitigate contractual, technical or commercial risks.   2. In addition to grasp the Baseline sales principles/requirements, review the policy documents of the offer & LOA.  Support Commercial Integration (CI) on advising terms & conditions to be adopted in the offer.  Develop risk assessments for the internal governance and approval of deviations to baseline terms applied to customer contracts. Using contract risk evaluation tool to present risks contained in the T&Cs and support LOA approval.   3. Perform final reviews of contract documents to support the order acceptance process and advise on identified concerns, including required additional approvals. Support resolution of straightforward contract issues with customer. Advise on authorized personnel to sign contract documents on behalf of the applicable Westinghouse company entity and assist with preparation of powers of attorney documents when needed.   4. Support maintenance of L&C policies, processes and procedures relating to contract terms and conditions. (CM policy, LOA policy, Signature Authority Policy)   6. Assist with communications, training and other touchpoints between the L&C Contracts group and our interfacing partners. Serve as secondary interface point of contact to BUs, GOS, GSCS and L&C personnel for T&Cs process issues.   7. Perform additional duties as agreed by reporting manager.   Education and Qualifications / Skills and Competencies: Education Level (Degree, Area of Study) – Minimum Requirement: Junior attorney or legal consultant, with experiences of commercial contract T&Cs and working for English speaking multinational company. Years of Experience (if applicable): 3-5 years Professional Certifications: Required Skills and Competencies: Experience in dealing with US/UK commercial contracts T&Cs in both English and Japanese and familiar with basic Japanese law applied to commercial transactions   Capable of collaborating with cross-functional teams (AT, Legal, CI, Technical, Treasury, Insurance, etc.) to lead the contract process upon request from initiation to signature, including drafting agreements, managing negotiations, and finalizing agreements.   Capable of understanding the needs of both customers and Westinghouse baseline sales contract requirements to be able to complete the contract balancing market and internal needs   Experience in the nuclear power business and familiarity with Westinghouse products and services and commercial business processes. (preferred)
