Role Overview The Contracts Manager works closely with the Program Management, Finance and development teams focusing on contract management, responsibilities include negotiating and managing a variety of contract types, as well as initiating, tracking, and monitoring contract changes, deliverables, correspondence, risks, and maintaining associated documentation. Key Responsibilities: Prepares non-disclosure agreements, teaming agreements, international sales agreements, and other contractual documents. Participates in proposal generation, reviews and approvals as well as generation, review and approval of supplier facing contracts. Briefs management on Terms and Conditions. Review contractual terms and conditions for their acceptability, as well as, assessing risk and impact to the proposal utilizing the Company resources including legal, operations, and pricing, as necessary. Identifies significant risks and develops unique contract terms and conditions to mitigate the risks when necessary. Provides alternate terms and conditions to Customer or Supplier. Acts as principal interface with external customers on contractual matters. Participates in management review of proposals, tenders and contracts and ensures that all legal and contractual matters relating to tenders and proposals are addressed efficiently and promptly. Prepares and disseminates information regarding contract status, compliance, modifications, etc. Responsible for implementation of, and adherence to, contract management policies and procedures. Provide guidance to business personnel on contract obligations and requirements, contracting policies and procedures. Maintains contract documentation and contract administration systems to ensure a full and complete record of all contract information is kept. Post contract-award, provide contract management support to programs such as prepare contract change proposals, conduct reviews to ensure contractual obligations are being met and provide advice to resolve contractual problems with the project delivery team in a timely manner. Ensure contracts activities are carried out in compliance with legislation, statutory regulations and ethical standards. Qualifications Bachelor's degree or equivalent in appropriate discipline or in the absence of a degree, an appropriate combination of education and relevant skills and experience, as outlined above. This position will require availability to travel to other sites when required. Candidates must be eligible to obtain and maintain Australian Government (Defence) Security Clearance. Skills Requirements Ability to interpret, write and negotiate contractual agreements Working knowledge of ASDEFCON suite of terms and conditions is desirable, but not essential Good understanding of intellectual property issues A critical thinker, possesses good analytical and problem solving skills Detail oriented, responsive and follows through on commitments Strong time management, prioritization, and organizational skills Previous experience in a customer facing role Ability to work with minimal instruction on day-to-day work assignments and can plan, schedule and arrange own activities.
