Job Description

We are seeking a Corporate and Compliance Legal Assistant to own the end-to-end mechanics of company formation across UAE mainland, free zone, and offshore jurisdictions, and to keep the firm's client companies compliant throughout their life cycle. The role also operates the firm's internal client-compliance process (KYC/AML onboarding checks) and drafts routine corporate documents — partnership agreements, shareholder and board resolutions, and incorporation documentation — to the firm's standards.


Key Responsibilities

  • Handle company formation end to end name reservation, initial approvals, document preparation and submission, and license issuance across UAE mainland (DED), free zones, and offshore registries.
  • Manage corporate compliance for client companies: license renewals and amendments, UBO registers and filings, ESR and other regulatory filings where applicable, statutory registers, and the client compliance calendar.
  • Operate the firm's internal client-compliance process: KYC/AML onboarding checks on new clients, sanctions and adverse-media screening, document collection and verification, and conflict-check support — escalating red flags to the compliance officer.
  • Draft partnership agreements (from firm precedents), shareholder and board resolutions, powers of attorney, memorandum/articles amendments, and incorporation documents.
  • Liaise with authorities, registries, free-zone authorities, and notaries; coordinate attestations, legalizations, and legal translations (Arabic/English).
  • Maintain formation and compliance trackers in the firm's systems; keep files accurate and audit-ready; record time daily.
  • Act as first line for routine client queries on process status, escalating anything requiring legal judgment.

Desired Candidate Profile

  • Degree or diploma in law or a related field; an LL.B. or paralegal qualification is an advantage.
  • Minimum [2] years of experience in company formation, corporate services, or a legal assistant role, gained in a law firm, legal consultancy, or corporate services provider in the UAE.
  • Hands-on knowledge of UAE mainland, free-zone, and offshore formation processes and the relevant authorities and portals.
  • Familiarity with UAE corporate compliance requirements: license renewals, UBO, ESR, and statutory registers.
  • Experience drafting resolutions and incorporation documents; exposure to partnership or shareholders agreements is an advantage.
  • Awareness of KYC/AML onboarding requirements is an advantage.
  • Strong written and spoken English and Arabic; the ability to prepare Arabic corporate documents is a strong advantage.
  • Strong attention to detail, organization, and deadline reliability; able to manage multiple files simultaneously.
  • Candidates currently based in the UAE are preferred.
