Description Role Description: LX Hausys America, Inc. is seeking a Corporate Attorney to support transactional, corporate, and litigation-related legal matters in a manufacturing and distribution environment. This role provides hands-on exposure to commercial contracts, entity management, corporate governance, and product liability related matters, working closely with internal business teams and external counsel. This position is well-suited for an attorney early in their career who is eager to develop strong in-house legal capabilities within a global manufacturing company. Responsibilities: 1. Product Liability & Litigation Support • Support product liability and intellectual property (IP)-related disputes, litigation, or discovery processes. • Assist with litigation holds, document collection, evidence preservation, and coordination with outside counsel in connection with product liability or IP matters. • Conduct factual and legal research related to claims, disputes, and litigation involving product defects, patents, trademarks, trade secrets, or other IP rights. 2. Transactional & Commercial Support • Draft, review, and assist in negotiating commercial agreements, including: - OEM Purchase Agreements - Distributor Agreements - Agent Agreements - Supply Agreements • Support HR, logistics, sales, operations, and finance teams with contract-related legal advice. • Assist senior counsel on complex transactions and cross-functional business initiatives. 3. Contract Lifecycle Management • Assist with the full contract lifecycle from intake to execution and filing. • Maintain and organize contracts in the contract management system. • Track renewal dates, key obligations, and deadlines. • Support the development of contract templates and standard clauses. 4. Entity Management & Corporate Governance • Assist with U.S. entity and its subsidiaries registration, and annual filings. • Maintain corporate records, resolutions, and governance documents. • Coordinate with HR and finance teams on entity-related matters. Requirements Qualifications: Required: • Active bar membership in at least one U.S. jurisdiction • 0–3 years of legal experience (law firm or in-house, including clerkships or internships) Preferred: • Experience or exposure to civil litigation or discovery • Familiarity with OEM, supplier, distributor, or agency contract structures Skills & Abilities: • Demonstrates professional judgment and discretion as an attorney, with a strong understanding of and sensitivity to attorney–client privilege, attorney work product, and confidentiality obligations, and the ability to handle sensitive legal matters accordingly. • Ability to review, redline, and analyze commercial contracts, identify legal risks, and propose practical fallback language. • Solid understanding of commercial contract structures commonly used in manufacturing and distribution (e.g., OEM, supply, distributor, agent agreements). • Ability to spot legal risks early and escalate issues appropriately to senior counsel. • Experience supporting or assisting with litigation and dispute matters, including document collection, discovery support, litigation holds, and coordination with outside counsel. • Working knowledge of product liability, IP-related disputes, and regulatory compliance concepts, with the ability to conduct focused legal and factual research. • Ability to work cross-functionally with procurement, sales, operations, EHS, HR, and finance teams and translate legal advice into practical business guidance. • Strong ability to organize legal documents, manage deadlines, and maintain contract or matter tracking systems (e.g., CLM or shared legal databases). • Proactive mindset with the ability to learn quickly, take ownership of assigned matters, and operate effectively in an in-house legal environment.
