POSITION SUMMARY The Corporate Counsel position provides legal guidance and support across the organization to ensure compliance  with laws, regulations, and company policies. PRIMARY DUTIES AND RESPONSIBILITIES 1. Develop a thorough understanding of the Company's business and transactions. 2. Draft, review, analyze and negotiate contracts. 3. Research and analyze legal issues, statutes, regulations and cases and prepare memoranda. 4. Provide legal guidance on various business and risk related matters. 5. Coordinate and supervise work performed by outside counsel for business related matters, acting as internal  support to outside counsel.  6. Participate in the development of corporate policies, procedures and programs. 7. Provide support and legal expertise for the compliance and internal audit functions. 8. Assist with other legal needs of the company, as needed. 9. Provide support for the Chief Legal Officer, as needed. 10. Other duties as may be assigned.  SUPERVISORY RESPONSIBILITIES None. QUALIFICATIONS To perform this job successfully, an individual must be able to perform each essential duty satisfactorily. EDUCATION AND/OR EXPERIENCE Juris Doctorate Degree Active Tennessee law license with no record of discipline Minimum of three (3) years as a licensed and practicing attorney, either in private practice or in-house (Contract  review/negotiation, real estate transactions, business transactions, and/or civil litigation experience preferred) OTHER SKILLS Excellent interpersonal and problem-solving skills; ability to communicate effectively with a diverse range of  individuals; good judgment; ability to handle multiple tasks simultaneously; strong initiative; excellent attention to  detail and time management skills; confidentiality and professionalism; computer literate with working knowledge  of Word, Excel and Outlook; highly developed organizational, planning and oral and written communication skills;  ability to work well with others; ability to effectively communicate complex legal concepts to non-attorney team  members and make recommendations to executive management on legal issues; ability to excel in a fast-paced  environment, both independently and in a team setting, with minimal direct supervision; willingness and ability to  travel up to 20% of the time for litigation and business matters. WORK ENVIRONMENT Position is in a typical office setting that involves everyday risks or discomforts that require normal safety  precautions.
