To support this, we are looking to hire a Corporate Development Manager who combines deep financial expertise with hands-on experience in transaction execution, post-merger integration, and group structuring. This role sits at the intersection of strategy, finance, legal, and tax, and acts as a key partner to the VP Finance, the leadership team, and external advisors on complex, cross-functional initiatives. The role owns the end-to-end lifecycle of strategic transactions—from opportunity assessment and valuation through due diligence, deal structuring, closing, and integration—and plays a central role in legal structuring, tax optimization, governance design, and fundraising. This is a senior, execution-oriented position with significant exposure to top management, combining corporate finance rigor with pragmatic delivery while building a scalable, robust group setup aligned with long-term shareholder value. WHO YOU ARE Strong corporate development / corporate finance background, ideally Big 4–trained (Transaction Services, Deal Advisory, Valuation, or similar) Proven experience in M&A project management, from strategy through execution and integration Deep understanding of financial, tax, and legal due diligence and their implications for valuation and deal structuring Solid hands‑on experience with valuation methodologies, financial modeling, and investment decision frameworks Strong knowledge of transaction and legal structures, including share vs. asset deals, holding structures, and tax structuring Experience with post‑merger integration in complex, cross‑functional environments Familiarity with entity setup and group structuring, including tax structuring, SPVs, intercompany financing, and international structures Exposure to fundraising processes including governance, reporting, and legal form considerations Excellent stakeholder management and communication skills, with the ability to bridge finance, legal, and operational teams WHAT YOU'LL DO Lead Corporate Development & M&A initiatives across category expansion, strategic acquisitions, and exit‑driven projects Manage end-to-end M&A processes, including target screenings, commercial and strategic rationale, valuations, business cases, and contractual agreements Own due diligence processes together with external advisors, translating findings into valuation adjustments and risk mitigation measures Design and negotiate transaction structures, including share vs. asset deals, earn‑outs, and governance mechanisms Evaluate and optimize group and holding structures, including legal considerations, tax efficiency, and international scalability Lead post‑merger integration ensuring alignment across operations, tech, finance, legal, and people topics while capturing synergies Act as a key contact to advisors and stakeholders, including tax advisors, legal counsel, banks, and investors WHY YOU WILL ENJOY WORKING WITH US: Our Culture and Values: Decisions should be made based on facts and not by hierarchy levels?
