Job Description: Key Responsibilities: Assist in and sometimes oversees the corporate secretarial functions including preparing Board and Shareholders’ resolutions, filings with the Accounting and Corporate Regulatory Authority (ACRA), and submissions to the Monetary Authority of Singapore (MAS). Help maintain statutory registers and records, and manage filings of hardcopy minutes and resolutions. Provide support for Board, Board Committee, and Singapore Management meetings. This includes creating agendas, coordinating both physical and virtual meetings, preparing drafts of board/board committee minutes, distributing meeting materials via specific platform, and executing post-meeting actions as needed. Provide support for administrative and logistic arrangements for Board and Board Committee meetings. Supports the team to ensure adherence to company laws, regulations, and best practices in corporate governance. Assist with other secretariat tasks or compliance-related assignments and support transaction matters as needed. Candidate Requirements and Qualifications: Bachelor's degree in Business Administration, Governance, Law, or a related discipline, with minimum 6 years’ relevant corporate secretarial experience. Graduateship/Associate member of the Institute of Chartered Secretaries and Administrators. In-house corporate secretarial experience in a financial institution or listed company will be advantageous. Strong understanding of corporate governance principles, regulations, and best practices, while prior experience in public listed companies is a plus. Excellent organizational skills with the ability to manage multiple tasks and priorities effectively. Exceptional attention to detail and accuracy in documentation and record-keeping Strong written and verbal communication for interaction with various stakeholders, etc. Proactive and self-motivated with the ability to work independently and as part of a team. Proficiency in Microsoft Office applications (Word, Excel, PowerPoint, Outlook) and Zoom. Experience with board portal software (eg. BoardPac, etc.) is a plus. Favourable consideration will be given to candidates with a robust understanding of IT concepts, tools, and systems. Ability to handle confidential and sensitive information with discretion and professionalism.
