The Corporate Governance Officer and Board Secretary, Egypt is part of the Bupa Global, India & UK Market Unit (“BGIUK”) Legal team with a reporting line to the Company Secretary, Provision & International, BGIUK. The Corporate Governance Officer and Board Secretary’s primary role is to support Bupa Egypt with respect to the provision of corporate governance and company secretarial duties How you’ll help us make health happen Key Responsibilities: Working closely with the Company Secretary, Provision & International to deliver effective corporate governance support and advice to the Egypt Boards and their Committees Being the named Corporate Governance Officer and Board Secretary for Bupa Egypt Insurance and coordinating the project work to ensure initial and ongoing compliance with the new Egyptian Corporate Governance Code. Serve as the primary point of contact for the board of directors (including the independent non-executive directors when appointed), shareholders and regulatory authorities on corporate governance matters. Coordinate and facilitate board/committee/shareholder meetings, including preparing agendas, reviewing board papers, collating board packs, taking minutes/actions (in both English and Arabic) and organising board training. Coordinating and facilitating the statutory audit by the external auditors. Ensure compliance with statutory and regulatory requirements, including the appointment requirements for executive management personnel, filing annual returns, disclosures and resolutions and management of conflicts of interest procedures. Coordinating succession planning, recruitment and appointment activities for independent non-executive directors. Draft and fill statutory documents, such as annual returns, board resolutions and meeting minutes. Maintain corporate records, registers and statutory books as per the applicable laws and regulations. Advise management and board members on corporate governance best practices, legal requirements and compliance issues. In conjunction with the Company Secretary, Provision and International manage shareholder communications, including organising and minuting general assembly meetings. Liaising with BGIUK Corporate Governance team as part of financial year-end activities and other internal requirements such as Internal Control and Risk Management Assessment (ICRMA). Liaising with BGIUK Corporate Governance team to ensure Diligent Entities information for the Egyptian entities is maintained. Ensuring appointments to the Egyptian Boards are in accordance with the requirements of the Bupa Subsidiary Governance Policy What you'll need: Qualified corporate governance professional or working towards professional qualifications Experience of a Corporate Governance / Company Secretary role is within a global organisation High quality written and spoken English and Arabic Strong knowledge of corporate law, regulations and governance principles. Experience with corporate secretarial software and tools for document management and compliance tracking. Qualified Company Secretary with a membership of the Institute of Company Secretaries or equivalent Excellent communication and interpersonal skills, with the ability to interact effectively with senior executives and board members. Credibility to develop strong relationships with senior stakeholders, managers, peers, and wider colleagues, both legal and business and internal and external. Strong communication skills and confidence to challenge effectively as appropriate Demonstrates the right behaviours to reinforce and develop an environment where ideas and innovation thrive and outputs demonstrate this.
