ABOUT THE OPPORTUNITY

We are seeking an experienced and detail-oriented Corporate Law Clerk to support one of our senior lawyers in our Toronto Office. This is a full-time, in-person role ideal for someone with a strong background in Corporate Law who thrives in a fast-paced legal environment.

  • Minimum 5 years of relevant experience required
  • Experience in Condominium Law is an asset, but not required

QUALIFICATIONS & SKILLS

  • Proven ability to work independently and take initiative
  • Strong background in Corporate Law (Real Estate is an asset)
  • Exceptional attention to detail and organizational skills
  • Strong writing, spelling, and grammar skills
  • Excellent verbal and written communication in English
  • Typing speed of 80+ WPM
  • Proficiency in Microsoft Office Suite (Word, PowerPoint, Excel)
  • Ability to multitask and manage competing deadlines
  • Professional and team-oriented demeanor
  • Leadership capabilities and a proactive mindset

EDUCATION & EXPERIENCE

  • Experience: Minimum 5 years in a Law Clerk role (6+ years preferred)
  • Education: Law Clerk diploma or certificate from a recognized institution (preferred)
Responsibilities

KEY RESPONSIBILITIES

  • Draft and prepare constating documents, including by-laws, rules, and policies
  • Prepare corporate resolutions and transactional documents (e.g., loans, asset/share purchase agreements)
  • Conduct corporate searches and manage corporate filings
  • Coordinate and manage closings for corporate transactions
  • Conduct legal research on condominium corporate matters
  • Review legal descriptions and corporate documentation
  • Draft and organize materials for educational seminars
  • Retrieve and review instruments from the Land Registry Office
  • Maintain and update precedent documents
  • Assist with legal writing and internal knowledge sharing
  • Provide general administrative and document management support
  • Offer overflow support to lawyers and other staff as needed
