CORPORATE LAW CLERK
We are looking for an energetic, positive, team-player, who can handle a busy and fun work environment. Technology should come easy to you and your communication and attention to detail skills need to be excellent.
ROLE OVERVIEW:
In your role you will interface with clients as well as the legal team on a daily basis.
This role will be located in the Vaughan office (this is a full-time in-office position).
POSITIONS, DUTIES AND RESPONSIBILITIES
As a Law Clerk with the Firm, you will be responsible for a wide range of tasks and although we naturally cannot provide an exhaustive list of potential responsibilities, in addition to the regular range of duties and responsibilities that arise out of client work, we anticipate that your work assignments may include the following:
- From initial contact to final delivery, you will coordinate the client-lawyer relationship and ensure best in class legal services are provided;
- Working directly with clients and lawyers to coordinate and participate in the creation of draft and final documents using digital software or precedent bank;
- Completing intake process with clients, asking preliminary screening questions and being a point of contact throughout the transaction as required;
- Completing conflict checks and collecting client Identification and other intake information to ensure compliance with LSO guidelines and standards;
- Opening and creating client files digitally and physically, inputting all required client information;
- Drafting and sending out retainer agreements and reporting letters to clients on completion of files;
- Drafting and filing articles of incorporation, articles of amendment, and corporate dissolutions;
- Minute book review for deficiencies, completing clean up resolutions, annuals, and other documents necessary to bring the minute book up to date and in good standing, including registrations and filings on ESC or ONCORP software;
- Drafting agendas, closing documents, statement of adjustments, trust ledgers and other necessary closing documents pertaining to asset or share purchases and sales;
- Drafting rollovers, share exchange agreements, and corporate resolutions pertaining to these transactions;
- Completing 9A and 9B forms as required for wire transfers in corporate commercial or real estate transactions;
- Organization/coordination of files/closings;
- Problem solving with minimal supervision;
- Attending office staff meetings, training sessions, and Team meetings;
- Communicating in a professional manner with lawyers, other team members and clients;
- Attending to administrative duties such as following up on outstanding invoices, filing documents, and sending couriers;
- Those general duties which are customary for a clerk working at a midsize firm; and
- Any other duties and responsibilities assigned to you by the Firm from time to time.
Requirements: Prior experience working as a Law Clerk and specifically minimum 3 years within Corporate law is a must.
Job Type: Full-time, Permanent, in-office, Monday to Friday, 9am to 5pm
Compensation: Salary based on experience.
