McHugh Whitmore LLP is currently seeking a Corporate-Commercial Assistant/Clerk for a full-time, contract position. QUALIFICATIONS

· Experience working in a Corporate-Commercial department
· Legal administration/law clerk diploma and/or Institute of Law Clerks of Ontario Certificate (or equivalent)
· Proficiency in the following software: MS Word, Outlook, PC Law, MinuteBox, ECore, ESC, DropboxSign, Zoom and Kofax (PDF) is preferred

Responsibilities

· Review and update minute books
· Assist with a variety of corporate transactions and matters, including sales and purchases of businesses as well as corporate reorganizations
· Draft, review and revise legal documentation
· Correspond with clients, other law firms and accountants
· Incorporate, amalgamate, dissolve and continue corporations
· Prepare Annual Resolutions and Annual Returns
· Perform and review a variety of corporate searches
· Complete security registrations
· Perform other corporate-commercial filings
