  • CORE Level 1 Certification (minimum).

Responsibilities

ABOUT THE ROLE

We are seeking a detail-oriented and motivated Corporate Legal Assistant to join our team. This role involves supporting our corporate lawyers by preparing, filing, and maintaining legal documents, managing corporate records, and assisting with corporate transactions. The ideal candidate will be experienced, highly organized, and comfortable working both independently and collaboratively in a fast-paced environment.

KEY RESPONSIBILITIES

  • Prepare and file documents for Alberta and federal incorporations.
  • Assist with amendment, continuances, amalgamations, dissolutions, and revivals.
  • Handle extra-provincial registrations and renewals across Canada.
  • Prepare business name and partnership registrations.
  • Maintain and update corporate records and minute books, both physical and digital.
  • Prepare annual returns, resolutions, and corporate governance/compliance documents.
  • Draft resolutions, share certificates, share transfers, registers, ledgers, and related documents.
  • Conduct due diligence, corporate searches (CORES), and NUANS name searches.
  • Assist lawyers with corporate transactions such as asset/share purchases and reorganizations.
  • Liaise with clients, government agencies (e.g., Alberta Corporate Registry), and other professionals.
  • Maintain accurate and timely corporate databases.
