REQUIREMENTS

Education & Professional Background

  • Law degree from a recognized institution
  • Qualified lawyer with Luxembourg bar admission preferred
  • Minimum 7+ years of corporate legal experience, preferably in financial services or investment management
  • Experience with Luxembourg corporate law and investment vehicle structures

Technical Skills

  • Strong knowledge of Luxembourg corporate governance requirements
  • Experience with board management and AGM coordination
  • Understanding of investment vehicle regulations and compliance
  • Familiarity with KYC/AML procedures and financial services compliance
  • Proficiency in legal documentation and contract management

Language Requirements

  • Fluent in English (working language)
  • French and/or German proficiency preferred
  • Luxembourg language skills considered an advantage

Responsibilities

ROLE

We are seeking an experienced Corporate Legal Officer to join our Luxembourg operations, playing a crucial role in supporting both our financing company (Finco) and team.blue NV operations. This position offers the opportunity to work at the intersection of corporate governance, finance, and regulatory compliance within our dynamic European organization.

KEY RESPONSIBILITIES

Corporate Governance & Documentation (Primary Focus)

  • Maintain comprehensive Luxembourg board files and financing documentation
  • Organize and coordinate Annual General Meetings (AGM) for team.blue and/or Management Investment Vehicles (MIV)
  • Ensure corporate governance compliance across all Luxembourg entities
  • Manage corporate secretarial functions and statutory filings

Board & Investment Management

  • Hold board positions across all Luxembourg Management Investment Vehicles (MIV)
  • Provide strategic legal support for board decision-making processes
  • Oversee legal aspects of investment vehicle operations and compliance

Stakeholder Relationship Management

  • Manage and maintain relationships with lenders, including certificate management and compliance
  • Coordinate investor relationships, with primary focus on MIV stakeholders
  • Serve as key legal contact for external financing and investment partners
  • Facilitate communication between internal teams and external legal counsel

Management Investment Plan (MIP) Administration

  • Oversee legal and administrative aspects of MIP for employee leavers and joiners
  • Ensure compliance with employment and investment regulations
  • Coordinate with HR and Finance teams on MIP-related legal matters

Compliance & Risk Management

  • Execute Know Your Customer (KYC) compliance procedures on behalf of the group
  • Monitor regulatory changes affecting Luxembourg operations
  • Ensure adherence to local and European financial services regulations
  • Support group-wide compliance initiatives
