CORPORATE PARALEGAL POSITION OVERVIEW

As a Corporate Paralegal you will prepare legal documents and conduct research to assist lawyers in all facets of corporate law, in addition to occasional assistance on litigation, real estate and employment matters.
The Corporate Paralegal will support the company’s lawyers through all stages of corporate transactions as well as with corporate governance and regulatory matters.
This includes reviewing and preparing board resolutions together with external counsel, as well as directly drafting and negotiating non-complex corporate and commercial agreements.

SKILLS AND QUALIFICATIONS

  • Diploma of College Studies in Paralegal Technology or Attestation of College Studies in Paralegal Studies.
  • Minimum of three (3) to five (5) years of experience as a Corporate Paralegal
  • Proficiency in MS Office applications and legal research databases, with ability to conduct independent research, as required, as the legal department grows
  • Bilingual: English and French, both written and spoken.
  • Strong written and oral communication skills as well as excellent reading comprehension.
  • Able to effectively multi-task, manage time-sensitive documents and have exceptional organizational skills in a fast-paced environment. Autonomous, rigorous and detail oriented particularly considering the requirements of the corporate secretariat office.
  • Able to function effectively in a team-oriented environment within and outside the legal department, across different functions. Collegial attitude, solutions-oriented.

Responsibilities:

General

  • Provide contract support for standard corporate agreements, such as non-disclosure, sales, transportation brokerage and independent contractor agreements, while ensuring effective communication with members of our operation and sales team.
  • Responsible for organizing legal documentation related to transactions, leases or sales agreements, as well as overseeing the execution (or, signature process), communication and archiving of finalized agreements.
  • Together with external counsel, coordinating, maintaining and filing corporate records, including articles of formation, merger agreements, dissolution documentation, board of director changes, annual reports, stock certificates, resolutions, etc.
  • Together with external counsel, draft annual corporate resolutions and maintain the company’s corporate records, including federal, provincial, and non-provincial returns; as well as provide our parent company with yearly compliance reports confirming all is in good-standing, while updating all required GLS corporate central records in accordance with its requirements for all its international subsidiaries.
  • Perform general procedural duties dealing with corporate matters, such as obtaining tax numbers, communication with the Registraire des entreprises, Corporations Canada, etc.; liaising with our finance department on all related matters.
  • Prepare quarterly litigation reports, including drafting overall case summaries and status notes. Yearly coordination with our financial auditors to ensure we obtain the necessary confirmations from our external advisors on the status and risk exposure of our litigation matters, as well as preparing any related internal reports for our finance department.
  • Provide general administrative support to the legal team, including managing correspondence, documenting procedures and maintaining organized records.

Efficiency optimization

  • Participate in ad-hoc initiatives including organizing and maintaining documentation and helping implement necessary adjustments to legal processes.
  • Proactively seek and implement opportunities to streamline processes, enhance workflow efficiency, and improve overall operational effectiveness within the legal department. Be driven to identify areas for improvement and take the initiative to propose and execute solutions.
