SUMMARY To strengthen our legal department in Hünenberg, Switzerland, we are seeking a Corporate Paralegal to commence immediately or by agreement. In this role, you will be primarily responsible for managing and driving the corporate governance program at Specialized under the direction of our Regional Legal Counsel Europe. You will work collaboratively with internal stakeholders on a wide variety of corporate, commercial, and other legal issues, in addition to managing outside counsel. You will also provide support to our contracting process and contract management systems. This role will be a valued member of the nimble and collegial legal team and will require building strong cross-functional partnerships across all levels of the organization. HOW YOU’LL MAKE A DIFFERENCE Corporate Governance & Entity Management Manage Specialized’s Europe portfolio of corporate legal entities. Support other regions across the globe in corporate matters if needed. Coordinate the formation, maintenance, dissolution, and re-domiciliation of entities. Draft and review corporate documents such as resolutions, meeting minutes, and regulatory filings. Maintain beneficial ownership registers and support fiscal year-end processes. Compliance & Documentation Handle and respond to KYC requests across jurisdictions. Maintain statutory records, organizational charts, and compliance calendars. Ensure timely updates and filings with regulatory authorities. Contract & Document Management Oversee contract lifecycle processes including template management, workflow coordination, and electronic signatures (e.g., DocuSign). Organize and archive legal and contractual documentation. Coordination & Communication & Administration Liaise with external legal counsel, registered agents, and regulatory bodies. Collaborate closely with cross-functional teams (Finance, Risk, Compliance, etc.). Assist the Legal team with general administrative tasks. Proactively manage multiple priorities and support ad hoc projects as assigned. WHAT YOU’LL NEED TO WIN Completed commercial education (KV Ausbildung) with paralegal certification or university degree in law related field. 4–6 years of experience as a corporate paralegal, ideally with experience in dealing with corporate matters in a variety of countries. Experience in drafting corporate resolutions and coordinating annual meetings. Comfortable handling high volumes of trust and corporate documentation. Proficient in Microsoft Office (Excel, Word, PowerPoint, Outlook). Fluent in German and English (both required); Spanish is a plus. Strong organizational and communication skills, with sound judgment and attention to detail. Independent, proactive work style with a high level of professionalism.
