Lumexa Imaging is seeking a highly motivated and detail-oriented Paralegal to join our dynamic in-house legal team. The ideal candidate will possess strong organization and communication skills, a growth mindset, and experience proactively managing multiple matters. A proven ability to work independently while collaborating seamlessly within a team is essential.

GENERAL DESCRIPTION:

This position reports to the Senior Corporate Counsel for Lumexa Imaging, Inc. (together with its subsidiaries and affiliates, including affiliated radiology physician practices, “Lumexa”) and is responsible for assisting with general corporate, litigation, commercial, and department matters, including:

  • taking ownership of entity management and related filings
  • maintaining corporate minute books and drafting resolutions
  • receiving and directing subpoenas and other documents sent to registered agents
  • drafting amendments or simple contracts using templates

This is a full time, benefit-eligible opportunity located in Charlotte, North Carolina or remote.

EDUCATION AND QUALIFICATIONS:

  • An undergraduate degree from an accredited University or College

PREFERRED EXPERIENCE AND EXPERTISE:

  • Paralegal certification preferred
  • A minimum of seven (7) years related experience working as a paralegal either in a law firm or in-house legal department
  • Background and experience in corporate law and recordkeeping preferred
  • Experience with the healthcare industry and in-house legal departments preferred
  • Demonstrated experience drafting contracts (i.e. NDAs, amendments, and simple agreements)

Responsibilities

RESPONSIBILITIES:

Corporate Governance Support

  • Prepare, file, organize, and maintain corporate books and records, including by-laws, shareholders agreements, resolutions, minute books, and related documents
  • Primary responsibility for maintaining the good standing of a large number of corporate entities utilizing third party vendors (e.g., Cogency) as appropriate
  • Assist with paperwork and forms required by various regulatory bodies
  • Assist in capitalization table maintenance, including preparation of equity documents and filings and tracking vesting or partnership dates
  • Assist with onboarding and offboarding of executive officers and members of the board of directors
  • Prepare and coordinate D&O questionnaires
  • Respond to all Know Your Customer (KYC) requests from external parties

Litigation Support

  • Receive, triage and direct subpoenas and other documents sent to registered agents
  • Assist with litigation processes including maintaining litigation and investigation files; facilitating insurance notifications, counsel assignment, internal discovery, and credentialing efforts; and calendaring pertinent deadlines
  • Assist with legal requests, including requests for records, subpoenas, and deposition and/or trial testimony

Commercial Support

  • Triage incoming requests for contract review, drafting, or other projects with follow up actions as assigned
  • Manage execution process for professional services agreements, lease agreements and various vendor agreements, including following up to ensure agreements are fully executed and saving executed versions in our files

Department Support

  • Assist in the implementation and administration of contract lifecycle management system, including related processes such as compiling contracts, tracking material dates and terms and other actions to maintain a centralized contract database
  • Conduct research on legal and regulatory changes relevant to the company’s operations
  • Identify and support measures to further optimize the effective delivery of legal services
  • Other duties, as assigned
