JOB DESCRIPTION:

At Regions, the Corporate Secretary Assistant provides support regarding public disclosure under securities laws in matters affecting corporate governance and assists with the filing of regulatory documentation. This position maintains corporate records, prepares reports required by regulatory bodies, and assists with the keeping of minutes from Board of Directors meetings.
Primary Responsibilities
Prepares and assembles Board and Executive Committee materials and communications
Performs quality control checks of every document that goes to the Board
Files, tracks, and catalogues materials post-meeting
Coordinates and communicates with internal subject matter experts on processes, deadlines, and materials
Prepares securities and corporate governance forms
Prepares external reporting around Director and Executive Officer compensation
Manages the annual and quarterly Directors and Executive Officer questionnaire
Manages review and redactions of Board and Committee materials including coordination with outside counsel
Assists with preparation of Board and committee minutes
Drafts and coordinates review of minutes for Board and Board-level Committee meetings
Maintains Corporate Library
Responds to Corporate Library requests to support regulatory and internal examinations and other reviews
Prepares monthly Regulatory Correspondence Package
Analyzes and reviews corporate record keeping for regulatory purposes
Performs Board Portal administrator functions
This position requires the tracking of time and is eligible for overtime for hours worked in excess of 40 per week under the Fair Labor Standards Act.
Requirements
High School Diploma or GED
Five (5) years of legal secretary, paralegal, legal assistant, or related experience
Experience with maintaining corporate records
Preferences
Bachelor’s degree
Board of Directors documentation experience

Responsibilities

The Corporate Secretary Assistant helps execute all the day to day functions of the office of Corporate Secretary and Corporate Governance equipping the Board of Directors with the information they need to fulfil their duties, documenting the company’s official actions, and providing records and reports for required public disclosures or regulatory oversight.
Maintains confidentiality and information security
Follows best practice on processes and systems while contributing to ideas for continuous improvement.
Functions as technical administrator for online services (Boardvantage, Nasdaq Questionnaires, OneSpanSign, Sharepoint, Jira)
Experience with corporate or securities law practices, executive communication, or as a C-Level executive assistant preferred
Experience with digital publishing preferred
This position is intended to be onsite. Associates will have regular work hours, including full days in the office three or more days a week. The manager will set the work schedule for this position, including in-office expectations. Regions will not provide relocation assistance for this position, and relocation would be at your expense.
