Salary: $6,000 – $7,000 per month

JOB DESCRIPTION

We are seeking an experienced Corporate Secretary Manager to take full ownership of corporate secretarial functions for our client. This is a standalone, independent role ideal for someone with strong expertise in corporate governance and offshore entity management , capable of managing all tasks with minimal supervision .

JOB REQUIREMENTS

  • Diploma or Degree in Corporate Governance, Business Administration, Accountancy, or Law .
  • Minimum 5 years of corporate secretarial experience , preferably in a corporate service provider environment.
  • Strong understanding of offshore company structures and compliance requirements .
  • Proficiency in Mandarin (spoken and written) to liaise with Chinese-speaking clients.
  • CSIS Practising Certificate is a strong advantage.
  • Proven ability to work independently in a standalone role without team support.
  • Detail-oriented, well-organized, and able to meet strict deadlines.

Responsibilities
  • Manage the full spectrum of corporate secretarial work independently , including incorporations, annual filings, board resolutions, and share-related transactions.
  • Handle onshore and offshore client portfolios , ensuring compliance with ACRA, Companies Act, and other jurisdictional requirements.
  • Advise clients on corporate governance, compliance matters, and regulatory updates .
  • Maintain accurate statutory registers and prepare board minutes, resolutions, and annual returns.
  • Liaise directly with auditors, lawyers, banks, and regulatory authorities to ensure all compliance matters are addressed.
  • Monitor and maintain offshore entity documentation and ensure adherence to international compliance standards.
  • Communicate effectively with Mandarin-speaking clients , providing clear updates and professional advice.
