WHAT YOU BRING

  • 6+ years of experience as a law clerk in a law firm or corporate legal department, with strong contract management experience.
  • Knowledge of Canadian corporate and securities laws, regulations, and procedures; direct securities experience is an asset.
  • Exceptional verbal and written communication skills.
  • Solid understanding of contracts and commercial documentation.
  • Strong organizational skills, problem-solving ability, and a professional manner in all client and colleague interactions.
  • Ability to work efficiently under pressure while maintaining accuracy and a collaborative, positive attitude.
  • High ethical standards, discretion, and a commitment to confidentiality.
  • Practical, proactive, and detail-oriented approach to work.

Forge Recruitment is seeking an experienced Securities Law Clerk to join a highly regarded mid-sized corporate law firm located in downtown Toronto. YOUR RESPONSIBILITIES

  • Prepare, maintain, and review contract records within the firm’s contract management database.
  • Support lawyers and business teams by responding to data and information requests, and address inquiries regarding contract terms, obligations, and revisions.
  • Assist in creating and delivering self-help tools and resources, including toolkits, process documentation, training materials, and guidelines.
  • Handle a variety of corporate matters such as annual/periodic filings, registrations, drafting resolutions, preparing corporate documentation, coordinating subsidiary board meetings, and supporting corporate restructurings or reorganizations.
  • Provide back-up support to fellow law clerks when needed.
  • Assist with corporate history inquiries, information requests, and other ad hoc questions.
  • Manage administrative tasks including processing legal invoices, preparing cheque requisitions, and compiling expense reports.
