Valmet is looking for a Director, M&A and Corporate Law to join its global in-house legal team. Valmet is seeking an experienced lawyer to join its global in-house legal team as Director, M&A and Corporate Law. In this role, you will mainly advise on complex M&A transactions, joint ventures, and strategic investments across multiple jurisdictions, helping to drive our global M&A strategy. You will also provide support in a variety of corporate legal matters. You'll collaborate closely with senior leaders and cross-functional teams to influence decisions at the highest level and ensure transactions are executed efficiently and in full compliance with applicable laws. This position reports to the VP, Corporate Legal and IPR. The position is based in Espoo. In this role, you will: Act as a core member of deal teams, providing in-house legal support throughout the entire M&A lifecycle from initial evaluation to closing and seamless post-integration. Draft, review, and negotiate transaction documents, including SPAs, APAs, JV agreements, and related documents. Conduct and oversee legal due diligence on target companies, identifying risks and recommending solutions. Advise on deal structuring, regulatory compliance, and corporate governance. Collaborate with internal stakeholders, including M&A, finance, tax, HR, and operational business teams. Manage and coordinate work with external law firms and other external stakeholders. Monitor and advise on legal developments impacting M&A activities, such as antitrust and foreign investment regulations. Develop templates, playbooks, and best practices to strengthen M&A processes. Beyond M&A work, you will also support broader corporate legal matters, including corporate governance, IPR (Intellectual Property Rights), and financing, as needed and aligned with your expertise and interests. To succeed in this role, you will need: Strong expertise in cross-border M&A transactions. Solid knowledge of corporate law, contract law, and relevant regulatory frameworks. Familiarity with competition law is considered an advantage. Excellent drafting, negotiation, and project management skills, with a structured and organized approach to work. A solution-oriented, hands-on mindset with a “make things happen” attitude. Positive energy and strong communication skills. University degree in Law. 7+ years of legal experience with significant exposure to international M&A transactions. Background in a top-tier law firm and/or corporate in-house legal team or similar. Fluent in written and spoken English. Additional languages are considered as asset.
