Job Description – Director of Contracts  Title Director of Contracts Description The Director of Contracts provides leadership over BlueAlly Technology Solutions' enterprise-wide contracts function, with deep expertise in federal government contracting. This role is responsible for establishing and managing a high-performing contracts organization that supports both commercial and federal operations, with primary emphasis on U.S. Government contract compliance, risk mitigation and strategic contract lifecycle management. The Director oversees pre-award activities, contract negotiation, post-award administration, and compliance across all contract vehicles, including GSA MAS, NASA SEWP, OASIS+, MDA SHIELD , and agency-specific IDIQs. This leader serves as the company's senior authority on FAR/DFARS interpretation, flowdown requirements and regulatory compliance, while building scalable processes and mentoring a team of contracts professionals. Strategic Leadership & Team Management: * Lead and manage the Contracts Management department, including Contracts Administrators, FSO personnel, and GWAC and IDIQ Program Managers * Establish department vision, goals, and performance metrics aligned with corporate growth objectives * Develop and implement standardized contracting policies, procedures, and templates across the enterprise * Provide strategic guidance to executive leadership on contract risk, regulatory changes, and compliance posture * Build and maintain a high-performing team through hiring, mentoring, training, and professional development * Drive continuous improvement in contracting processes to support scalability as the company grows * Serve as the primary escalation point for complex contract disputes, negotiations, and compliance issues Pre-Award & Capture Support: * Oversee review of federal solicitations and RFPs to identify compliance requirements, mandatory FAR/DFARS clauses, and risk factors for bid/no-bid decisions * Direct proposal compliance reviews, including ITO analysis, Evaluation Criteria alignment and Section L/M requirements * DetermineSubcontracting Plan requirements and oversee timely submission * Review and approve pricing structures and validate proper contract type designation in proposals * Collaborate with Business Development and Capture teams to shape contract strategy on major pursuits Contract Review, Negotiation & Execution: * Review all government prime contract awards for FAR/DFARS compliance before acceptance * Lead negotiations on unfavorable terms, including unlimited liability, improper indemnification, unallowable costs and IP rights issues * Oversee creation and maintenance offlow down matrices for subcontracts, teaming agreements, and purchase orders, ensuring proper FAR/DFARS clause inclusion * Approve federal contract signatures following compliance review * Review and approve commercial MSAs, NDAs, Commerciality determinations, and COI documentation for alignment with federal requirements Contract Administration & Compliance: * Oversee federal contract close-outs, audits, and day-to-day contract administration across all contract types (T&M, FFP, Cost Plus Fixed Fee, IDIQ, ODCs, Labor Categories) * Ensure FAR/DFARS compliance across the Federal division andmaintainaudit-ready contract files * Direct support for DCAA, DCMA, SBA, and customer audits with documentation and compliance evidence * Oversee contract novations, address changes, and entity updates across all contract vehicles * Manage small business compliance, NAICS Code reporting, and joint venture documentation * Coordinate all certifications and representations, including SAM registrations, Reps and Certs, and CPARS responses * Provide training to Sales, Program Management, and Finance teams on federal contracting requirements and compliance obligations GWAC & Contract Vehicle Oversight: * Provide oversight of current prime GWAC and IDIQ Contracts and other government-wide contract vehicles * Ensure contract vehicle compliance, performance ratings, and strategic positioning across all GWACs * Oversee relationships with contract vehicle PMOs, consultants, and contracting officers * Guide business strategy for contract vehicle utilization and competitive positioning Security & Facility Oversight: * Provide leadership oversight of the Facility Security Officer (FSO) function, ensuring NISPOM and security compliance * Oversee facility clearance management, personnel security clearance processing, and DCSA coordination * Ensure security requirements are integrated into capture efforts and classified contract vehicles Position Requirements – Knowledge & Experience: * 10+ years of progressive experience in federal contract management, with at least 5 years in a leadership or management role * Expert-level knowledge of FAR, DFARS, GSAM, and government acquisition processes * Demonstrated experience managing contracts across multiple federal agencies (DoD, civilian, intelligence) * Experience with government-wide contract vehicles such as GSA MAS, NASA SEWP, OASIS+, MDA SHIELD, and agency-specific IDIQs * Proventrack recordof building and leading contracts teams in a federal IT services environment * Experience managing small business compliance, joint venture contracting structures, and size standard transitions * Strong experience with DCAA/DCMA audit preparation and response * Excellent leadership, communication, and cross-functional stakeholder management skills * Proficiency in contract management systems, CRM tools, and Microsoft Office Suite Education: * Bachelor’s degree in Business Administration, Finance, Law, Public Administration, or related field * Professional certifications strongly preferred: CPCM, CFCM, or equivalent Work Conditions * 40-hour week and availability during standard office hours * Location: Remote * Limited travel as requested * Computer-based position, sitting for extended periods of time (leading/attending virtual meetings)
