Responsibilities
  • Governance & Committee Support
  • Prepare materials and recommendations for Compensation Committee meetings, including executive pay proposals, pay-for-performance analysis, peer group reviews, and regulatory updates.
  • Ensure compliance with SEC disclosure requirements, including CD&A, proxy filings, and other executive pay-related disclosures.
  • Monitor regulatory developments, emerging trends, and best practices in executive compensation and adjust strategy accordingly.
  • Operational Oversight
  • Manage annual executive compensation cycle, including goal setting, performance evaluations, bonus and equity planning, and total compensation statements.
  • Collaborate with Finance, Legal, HRBPs, and Payroll to ensure accurate execution and reporting of compensation actions.
  • Maintain documentation of executive comp programs, policies, and internal controls.
  • Stakeholder Communication
  • Develop compelling and transparent communications for executives, board members, and employees to support understanding and engagement with compensation programs.
  • Serve as a trusted advisor to senior leadership on executive compensation matters.
