Responsibilities

ABOUT THE ROLE

Reporting directly to the CEO, the General Counsel will serve as the company’s first in-house legal leader and a key strategic advisor during a pivotal phase of growth. This role will lead legal oversight across M&A; transactions, employment matters, healthcare regulations, and general corporate governance, while shaping the legal infrastructure to support Aesthetic Partners’ expansion. You’ll partner cross-functionally across the C-suite, operations, and people operations ensuring that risk is managed proactively, compliance is upheld, and growth is enabled responsibly.

WHAT YOU’LL DO

  • Lead and manage all legal matters across the organization, including M&A, corporate governance, employment, and compliance
  • Serve as the lead legal advisor on acquisitions, investments, and integrations - Provide legal guidance on healthcare regulatory issues
  • Advise on employment law matters including workforce policies, contracts, and disputes
  • Build and manage the legal function, including internal and external partners
  • Draft, review, and negotiate contracts and agreements
  • Partner with leadership to drive strategic initiatives
  • Serve as a thought partner to the CEO and executive team sharing developments in latest legal developments that affect the company

M&A

  • Serve as the lead legal advisor on acquisitions, investments, and integrations, from drafting the LOI, redlining agreements, through final purchase agreements
  • Lead the legal due diligence process during the acquisition and partnership processes
  • Draft and execute purchase agreements, employment agreements, disclosures, and escrow documents
  • Ensure we collection of all documentation from sellers and partners for compliance, assist implementation of additional terms to be compliant as needed
  • Create and implement processes for legal documentation collection, storage, updating and adding additional terms to sellers’ existing legal infrastructures if needed
  • Collaborate with seller and partner’s legal teams in redlining agreements

CONTRACTS AND OTHER RESPONSIBILITIES

  • Ensure proper protections in legal language for contracts and third-party vendors whether group purchasing agreements, IT, cybersecurity, patient health information handling
  • Ensure compliance of website, cyber security, patient communication and information handling
  • Reviewing, redlining and signing off on leases
  • Serve as a thought partner to the CEO and executive team, sharing developments in latest legal developments that affect the company
