We are known for technical excellence, collaboration, and commitment to high-quality client solutions.   Sectors We Operate In: * Mission Critical and Data Centers * Aviation * Advanced Manufacturing ---------------------------------------- What You Will Do Mergers & Acquisitions / Strategic Transactions * Lead all legal aspects of acquisitions, strategic partnerships, and other corporate transactions. * Manage legal due diligence, transaction structuring, negotiation, and execution. * Partner with executive leadership, private equity sponsors, and external advisors throughout the transaction lifecycle. * Support post-acquisition integration activities and identify legal and business risks associated with growth initiatives.   Commercial & Corporate Legal Support * Review, draft, negotiate, and manage a wide range of commercial agreements, including client contracts, project proposals, master service agreements, subconsultant agreements, vendor contracts, confidentiality agreements, and other strategic business arrangements. * Provide practical legal counsel to business leaders on contract terms, project risk allocation, professional liability, commercial negotiations, and operational matters within the structural engineering and AEC industry. * Oversee outside counsel and assist with claims avoidance, dispute resolution, and risk management strategies related to project delivery and client engagements. Corporate Governance, Compliance & Risk Management * Support corporate governance, entity management, and compliance initiatives. * Provide practical legal guidance on regulatory, operational, and business risks. * Manage relationships with outside counsel and other external advisors.   Employment Law (Preferred) * Provide guidance on employment-related matters, workforce compliance, and HR initiatives as needed. What You Bring * Juris Doctor (J.D.) degree from an accredited law school. * Active bar membership in good standing. * Experience in the AEC industry is strongly preferred * 7–10 years of legal experience, with significant experience in mergers and acquisitions, corporate transactions. * Demonstrated experience leading legal due diligence, transaction structuring, negotiations, and deal execution. * Strong knowledge of corporate law and contract law. * Ability to effectively manage multiple transactions and priorities in a fast-paced environment. * Exceptional negotiation, communication, and relationship-building skills. * Practical business judgment and the ability to provide solutions-oriented legal advice. ______________________________________ Why Join AG&E At AG&E, you’ll work in a supportive and highly collaborative environment that encourages teamwork.
