Job Description We are seeking a strategic and experienced General Counsel to build and lead our legal function. You will own legal risk across commercial contracts, privacy and data protection, corporate governance, employment matters, regulatory alignment, and equity programs. This role will partner closely with business leaders, support go-to-market teams, and manage external counsel where needed. Responsibilities Commercial & Contracting: Draft, negotiate, and manage various commercial agreements (MSAs, SaaS, NDAs, DPAs), maintaining templates and a contracting playbook. Corporate Governance: Manage board/shareholder resolutions, corporate records, capitalization, and entity filings; act as corporate secretary. Privacy & Data Protection: Lead compliance with global privacy frameworks (e.g., GDPR), maintain policies/DPAs, and advise on privacy-by-design. Equity & Securities: Oversee legal aspects of employee equity plans and ensure compliance with securities and tax requirements. Employment Legal Support: Draft/review employment agreements and HR policies; advise on employee relations and cross-border matters. Regulatory Alignment & Compliance: Advise on legal/regulatory expectations for bank grade product offerings and ensure regulatory alignment in contracts and compliance documentation. Requirements 7+ years of legal experience, including a mix of law firm and in-house roles. Deep experience drafting and negotiating commercial technology/SaaS agreements. Strong background in corporate governance and equity documentation. Proven experience with GDPR and privacy compliance frameworks. Familiarity with employment law and HR legal processes. Experience supporting companies with enterprise or regulated customers. Demonstrated ability to work independently, set priorities, and manage workload as sole in-house counsel.
