JOB SUMMARY

Market Holdings and Innovairre seek a highly experienced and strategic General Counsel to lead and oversee the global legal strategy as the chief legal advisor. This executive provides comprehensive legal support to agency services, print manufacturing, and technology businesses across North America, Europe, and Asia. You will guide contract negotiations, ensure regulatory compliance, manage risks, protects intellectual property, and champions data privacy initiatives to support growth in the nonprofit fundraising, data analytics, and marketing services sectors.

EDUCATION:

  • Juris Doctor (JD) degree from an accredited U.S. law school.
  • Member in good standing of at least one U.S. state bar.

WORK EXPERIENCE:

  • Minimum of 10 years of progressive legal experience.
  • At least 2 years of experience as General Counsel or Deputy General Counsel within a complex, multi-entity business.
  • Experience in sectors such as marketing services, manufacturing, or nonprofit fundraising is preferred.
  • Global experience with operations or partners in China, the EU, India, and Mexico.

KNOWLEDGE:

  • Deep understanding of contract law, data privacy regulations (e.g., GDPR, U.S. regulations like FTC, TCPA, CAN-SPAM), intellectual property law, and employment law (U.S. and International).
  • Familiarity with corporate governance requirements, financial covenants, and debt arrangements.
  • Knowledge of M&A processes, including due diligence and integration.
  • Understanding of the nonprofit fundraising, data analytics, and marketing services sectors.

SKILLS:

  • Strong strategic and analytical thinking skills to lead global legal strategy and manage complex risks.
  • Exceptional drafting, reviewing, and negotiation skills for diverse commercial agreements.
  • Excellent communication and collaboration skills, with the ability to influence effectively across all levels of the organization and with external stakeholders.

Responsibilities
  • Serves as a strategic advisor to the CEO, Board of Directors, and Executive Team on all complex legal matters.
  • Leads and continuously evolves the global legal strategy to align with business goals and organizational risk.
  • Identifies, assesses, and mitigates legal, compliance, and operational risks across all business units and international operations.
  • Drafts, reviews, and negotiates diverse commercial agreements, including those for manufacturing, agency services, data usage, technology licensing, and strategic partnerships.
  • Oversees terms for client Master Service Agreements (MSAs), Non-Disclosure Agreements (NDAs), scopes of work, data sharing, and revenue-sharing contracts, ensuring enforceability and clarity regarding deliverables, performance metrics, indemnities, and liability limits.
  • Ensures compliance with global corporate governance requirements, including supporting subsidiaries, intercompany agreements, and accurate Board reporting.
  • Manages the legal elements associated with financial covenants and debt arrangements from banks and various capital providers.
  • Ensures adherence to U.S. fundraising regulations, IRS nonprofit rules, US Privacy Legislations, and related legislation.
  • Guides GDPR and international data privacy strategy with partners, particularly concerning data processor obligations and the use of Standard Contractual Clauses (SCCs) and Data Processing Agreements (DPAs) for cross-border data processing (e.g., EU citizen data processed in India or China).
  • Provides counsel on U.S. and International employment law, covering hiring practices, workforce transitions, terminations, and broader labor compliance.
  • Supports HR with policy development and risk mitigation strategies related to performance management, compensation, and employee benefits.
  • Protects and manages trademarks, copyrights, and patents related to proprietary analytics platforms (e.g., Squark), donor data models, campaign assets, and custom software tools.
  • Supports content licensing, white-label product development, and SaaS intellectual property protections.
  • Advises on acquisitions, joint ventures, and divestitures, including comprehensive due diligence, deal structuring, integration planning, and post-transaction risk management.
  • Proactively ensures legal compliance and contract development/negotiations as operations scale globally and the organization transitions from external legal services.
  • Enables new revenue growth through robust legal frameworks surrounding data usage, artificial intelligence, predictive analytics, and partner marketing contracts.
  • Reduces legal exposure while accelerating strategic execution, M&A activities, and client onboarding processes.
  • Performs additional responsibilities as required to ensure the team’s success.
