Position Summary: Provide legal and strategic advice to management at all levels and for affiliated companies, while optimizing company's legal spend, protecting against risk, supporting compliance, and representing the interests of shareholders. Deliver day-to-day legal support for commercial and liability issues that arise from the operations of a global manufacturing organization. Lead the legal function and manage outside counsel. Advise Shape's global leadership team and participate in strategic planning and executive team decision making. Prevent legal problems and solve those that occur.     Essential Job Functions include, but are not limited to, the following: · Provide legal and strategic advice regarding joint ventures, strategic partnership deals, and mergers and acquisitions. · Establish and implement policies and procedures and provide training to promote compliance with applicable laws, including global trade compliance, labor, employment, intellectual property, antitrust, product liability, global trade, employee benefits, financing, regulatory compliance and contractual obligations. · Negotiate, write, and provide counsel on agreements and contracts with customers, suppliers, development partners and other entities. Identify business and legal risks and provide solutions which balance legal issues and business objectives. · Maintain corporate governance process and documentation. Serve as corporate secretary. · Serve as primary contact for government relations. · Optimize the company's legal spend, finding appropriate balance between executing legal work in-house and using third parties. Manage outside counsel, inside legal staff and resources, department budget and outside counsel payment process. · Research unique legal issues impacting the organization by identifying applicable statutes, judicial decisions, and codes. Keep abreast of legislative changes that may affect the company and its affiliates. Perform pre-litigation work to minimize risks and maximize legal rights. Reasonable accommodations may be made to enable individuals with disabilities to perform essential job functions. · Law Degree/Juris Doctor · Admitted or capable of being admitted to the State Bar of Michigan · At least 10 years corporate transactional and commercial contract experience in either a law firm or in-house corporate counsel setting. Additional experience in other legal substantive areas preferred, including regulatory compliance, mergers and acquisitions, litigation, labor and employment and/or intellectual property. · Automotive supplier experience preferred. · Advanced proficiency in Microsoft Office applications. · Prior experience managing direct reports. · Position located in Grand Haven. Travel expected 10% of time, including outside of the United States.
