ABOUT THE ROLE We are seeking a motivated Junior Company Secretary to join our team. This role is ideal for someone who has started their studies toward becoming a Chartered Secretary, Chartered Governance Professional or pursuing the STEP qualification, or has at least three years of relevant experience in a professional or financial services environment. The successful candidate will assist in delivering high-quality corporate governance and company secretarial services across multiple jurisdictions to group companies of the Stonehage Fleming Group. KEY RESPONSIBILITIES Board Support: Assist in preparing board and committee meeting agendas, papers and minutes. Maintain statutory registers and ensure timely filings with regulatory authorities. Compliance & Governance: Support compliance with local laws, regulations and best practice standards. Assist with annual returns, filings and corporate governance reporting. Entity Management: Maintain accurate records for group entities, including incorporation and dissolution processes. Liaise with the compliance team, auditors and other stakeholders, as required. Relationships: Respond promptly to queries from our Family Office teams, providing KYC support as required. Build strong relationships with internal teams. SKILLS, QUALIFICATIONS AND EXPERIENCE Education & Professional Development: Started studies toward ICSA Chartered Governance qualification or STEP qualification, OR Minimum of 3 years’ experience in a company secretarial or governance role. Technical Skills: Understanding of corporate governance principles and statutory requirements. Familiarity with regulatory frameworks in professional or financial services. Experience using entity management software. Personal Attributes: Strong attention to detail and organizational skills. Excellent written and verbal communication. Ability to manage multiple priorities and meet deadlines.
