Key Responsibilities - Regulatory & Statutory Governance: Ensure full compliance with the Companies Act 2016, Bursa Malaysia Listing Requirements, Securities Commission Malaysia Guidelines, and other relevant statutory obligations. - Board & Shareholder Management: Strategically organize, manage, and facilitate Board of Directors' meetings, AGMs, and EGMs, including the precise preparation of board papers, minutes, and corporate resolutions. - Strategic Advisory: Act as the trusted advisor to the Board of Directors and senior management on corporate governance best practices and emerging ESG (Environmental, Social, and Governance) reporting requirements. - Stakeholder Liaison: Serve as the primary, high-integrity liaison between directors, shareholders, auditors, and key regulatory bodies such as SSM, Bursa Malaysia, and the Securities Commission. Initiatives / Projects - Corporate Restructuring & Growth: Oversee complex corporate restructuring, mergers & acquisitions (M&A), and rigorous due diligence activities as the company expands its footprint. - Regulatory Reporting Frameworks: Monitor ongoing legislative updates and corporate governance trends to seamlessly align internal corporate frameworks with evolving national standards. About You - Qualified Professional: Possess a valid ICSA/MAICSA qualification or be an SSM-certified licensed Company Secretary with active membership in MAICSA (or equivalent). - Seasoned PLC Expert: Bring a minimum of 10 years of deep corporate secretarial experience, with a proven track record operating within Public Listed Companies (PLCs). - Governance Champion: Demonstrate expert-level knowledge of Bursa Malaysia Listing Requirements, compliance frameworks, risk management, and statutory filing processes. - High-Integrity Communicator: Exceptional negotiation, advisory, and communication skills, with a proven ability to handle highly confidential board matters with absolute discretion. Nice to Have - Prior corporate secretarial experience specifically within the large-scale infrastructure, construction, or energy sectors. - Exposure to managing corporate governance frameworks for joint ventures or projects involving government agencies and GLCs.
