Responsibilities

ROLE MISSION:

The Head of Legal, Corporate at Cube will collaborate with the CEO and CFO to oversee all legal matters within the company, with a particular focus on corporate finance, global company secretarial compliance and mergers and acquisitions (M&A). This role requires strong leadership skills, extensive legal knowledge, and the ability to navigate complex financial transactions while mitigating legal risks.

KEY RESPONSIBILITIES:

  • Provide legal advice and guidance to the company’s management team on a wide range of corporate finance and M&A matters.
  • Develop and implement legal strategies, policies, and procedures to ensure compliance with applicable financial laws and regulations across our global company structure.
  • Review and negotiate contracts, agreements, and other legal documents related to mergers and acquisitions, financing, and other corporate transactions.
  • Lead the legal aspects of establishment and ongoing corporate governance of overseas subsidiaries and operations
  • Lead the legal aspects of M&A transactions, including initial negotiations, due diligence, deal structuring, and finalization of the transaction
  • Conduct thorough due diligence to identify potential risks, liabilities, and legal issues that could impact the transaction.
  • Collaborate with other departments, such as Finance and Compliance, to ensure legal compliance in areas such as securities law, tax compliance, and financial reporting.
  • Advise on intellectual property matters, including trademarks, copyrights, and patents.
  • Monitor and assess legal risks associated with the company’s financial operations and provide proactive solutions to mitigate those risks.
  • Oversee the company’s corporate governance and ensure compliance with corporate and financial laws and regulations.
  • Stay informed about industry-specific legal issues and trends and provide guidance to the company on potential impacts.
  • Work with and manage relationships with external legal counsel and accounting firms as needed.
